The Uphold December Sweepstakes (the “Sweepstakes”) is open to all natural persons who:

Register their participation on the Uphold platform.

reside in an Uphold supported jurisdiction (excluding New York, Virgin Islands, Florida, United Kingdom and EU);

are 18 or older on December 1, 2024 at 11:00 AM Eastern Daylight Time (EDT); and, 

are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures; 

are a customer of Uphold in good standing at the time the Prize is distributed;

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Sweepstakes. 

Who Can Enter

The Sweepstakes starts on December 1, 2024, at 11:00 AM EDT, concluding on December 31, 2024 at 19:59 PM EDT (the “Sweepstakes Period”). To qualify for an additional entry, all transactions must be successfully executed on the Uphold platform by 19:59 PM EDT on the final day of the Sweepstakes Period. Any pending transactions will not be considered for entry.

Sweepstakes Period

There is no purchase, transaction, or payment necessary to enter the Sweepstakes. To be eligible, you need to register your participation. You can do this by clicking on the banner within the mobile application that will be visible to all eligible participants and selecting ‘Opt-in.’ All users that opt-in will automatically receive one (1) free entry. 

Once you have registered, for all eligible transactions you perform on the Uphold platform during the Sweepstakes Period, you will automatically receive one (1) additional entry in the draw for every $20 trade successfully executed. Please note that trade amounts are not cumulative; only individual trades of $20 or more will qualify for an entry. For example, a single trade of $108 during the Sweepstakes period will grant you an additional five (5) entries, whereas smaller trades (e.g., $12) will not count toward a new entry. Eligible transactions include any successfully completed purchase, swap, or sale of a supported crypto asset on the Uphold platform. All other transactions are excluded. Entries are granted in whole amounts only. There is no limit to the number of entries you may enter in the Sweepstakes.

How to Enter

Twenty-one (21) entries will be selected at the end of the Sweepstakes Period in a random draw from among all eligible entries received during the Sweepstakes Period. The winners will then receive an email informing them that they have won the Sweepstakes and will have the prize paid to their Uphold account within thirty (30) days. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Random Draw

A total of twenty-one (21) prizes will be distributed to eligible users at the end of the Sweepstakes Period: 

One (1) Grand Prize of US$80,000 of value in the form of BTC (based on the mid-market rate as published on uphold.com/transparency as of December 31st, 2024); 

Twenty (20) eligible users will each qualify for a prize of US$1,000 of value in the form of BTC (based on the mid-market rate as published on uphold.com/transparency as of December 31st, 2024). 

The prize is non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Prizes

The selected entrants will be notified within 24 hours of the draw via email to the primary email address associated with their Uphold account. The selected entrants will be required to acknowledge by email receipt of notification of eligibility for prize and confirmation of acceptance of these Terms and Conditions. If no response is obtained within 10 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected by computer from the remaining eligible entries. The prize will be delivered to the winner’s account on the Uphold platform into their BTC sub-account within thirty (30) days of receipt of acknowledgement from the winner.

Winner Notification and Prize Delivery

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in these Sweepstakes.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified or incomplete survey. Entries in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Sweepstakes Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Sweepstakes. Uphold reserves the right at any time to withdraw this Sweepstakes or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Sweepstakes, winners consent to the use by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winner agrees to abide by and be bound by these Terms and Conditions, and understands that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Sweepstakes, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy . 

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

These terms, in addition to our General Terms and Conditions and your applicable User Agreement (available here for residents of the US.; here if you are a resident of a country that is a member of the European Economic Area (EEA), the European Union (EU), the United Kingdom, or Switzerland; or here if you reside anywhere else in the world), govern your use of VCOIN on the Uphold Platform. User Agreement for Residents of Countries Outside of the US, Europe, and UK

This User Agreement (this “Agreement”) is for our users who are residents of, or who access our Platform from, countries outside of the United States, the European Economic Area (EEA), the European Union (EU), or Switzerland, and governs the access and use of our mobile applications, products, software, websites, APIs and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. It is a binding contract between you and Uphold Worldwide Ltd., Reg No. 177867, Registered Office: Aristo House, Office A, The Balmoral, #78 Sanford Drive, Nassau, Bahamas. 

By using the Platform, you agree to follow and be bound by this Agreement and the associated General Terms and Conditions, including any policies referenced herein and therein, which are incorporated herein by reference. We may change the terms of this Agreement from time to time and at any time, with or without actual notice to you, though we will post notice of changes on the Platform. You should look at this Agreement regularly and your continued use of the Platform constitutes your acceptance of any revisions to this Agreement. If you do not agree to the modified terms for the Platform, you should discontinue your use of the Platform. In the event of a conflict between this Agreement and the Terms and Conditions, this Agreement shall prevail.

Hardware and Software Requirements

These General Terms and Conditions (these “Terms and Conditions”) govern the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. By using the Platform, you agree to follow and be bound by these Terms and Conditions, including any policies referenced herein. We may modify these Terms and Conditions or any additional terms that apply to the Platform to, for example, reflect changes to the law or changes to the Platform. You should look at these Terms and Conditions regularly and your continued use of the Platform will constitute your acceptance of any revisions to these Terms and Conditions. We will post notice of modified additional terms in the applicable service. If you do not agree to the modified terms for the Platform or any service we offer, you should discontinue your use of the Platform or that service.

Your use of the Platform is governed by additional agreements and terms, including our user agreements (each, a “User Agreement”) and any third-party terms and conditions. If you are a resident of the United States (US) or Canada (CA), your User Agreement is available here. General Terms and Conditions - Uphold

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits, and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at a minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or wait some amount of time for a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust, or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, partnership agreement, or trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity
