All individual users of the Uphold platform whose accounts are in good standing who reside outside of the United Kingdom who have an XRP balance of at least 1 XRP on the Uphold platform as of 31st July 2023 at 23:59 UTC will be automatically entered into the promotion. Business accounts are not eligible for the promotion.

New customers can take part in the promotion on these snapshot dates - August 31st 2023 and September 30th 2023.

Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in this Promotion.

Who is eligible to enter the promotion?

This Promotion shall commence on July 31st, 2023 at 23:59 UTC and continue until October 31st, 2023 at 23:59 PM UTC (the “Promotion Period”). Notwithstanding the foregoing, Uphold reserves the right, in its sole discretion and without providing any prior notice, to shorten, extend, modify or terminate this Promotion or Promotion Period in any way and at any time.

All eligible participants will receive one (1) NFT corresponding to their rank at the end of the Promotion Period (“Prize”). The NFT has no cash value, but may be transferred or sold. The NFT of the final rank will be distributed to the customer within sixty (60) days.

Promotion Period and Prize Details

Uphold will notify you via email on how to claim your NFT and transfer it to an external wallet. If you do not claim your NFT within ninety (90) days of being notified, you will forfeit your Prize.

Yes, you can take part in the promotion by holding XRP on the snapshot dates - August 31st 2023 and September 30th 2023 (23:59 UTC).

Can I buy XRP after July 31st and enter the promotion?

These are the snapshot days for the promotion:

July 31st, 2023 at 23:59 UTC - The 1st rank is determined based on balances at the time of this snapshot.

August 31st, 2023 at 23:59 UTC - The rank for the following month is determined based on the balances at the time of this snapshot. If you join on this date, the rank for September will be determined based on the balances at the time of this snapshot.

September 30th, 2023 at 23:59 UTC - The rank for the following month is determined based on the balances at the time of this snapshot. If you join on this date, the rank for October will be determined based on the balances at the time of this snapshot.

October 31st, 2023 at 23:59 UTC - This will determine the final rank achieved during the promotion and what NFT you will be eligible to receive.

What are the snapshot days for the promotion?

On July 31st, 2023 at 23:59 UTC eligible customers will be assigned with a rank and put into one of the following cohorts.

New customers who join on August 31st 2023 and September 30th 2023 will be assigned ranks and put into one of the following cohorts.

Your XRP balance at 23:59 UTC on the last day of each calendar month will be used to determine your rank for the following month.

What are the ranks?

Your XRP balance at 23:59 UTC on the last day of each calendar month will be used to determine your rank for the following month.

1) If your XRP balance at the snapshot date is equal to your XRP balance at the previous snapshot date, you will move up one rank and you will receive the relevant rank badge.

2) If your XRP balance at the snapshot date is higher than your XRP balance at the previous snapshot date and it is within the same balance tier, you will move up one rank and you will receive the relevant rank badge.

3) If your XRP balance at the snapshot date is higher than your XRP balance at the previous snapshot date and it falls in a higher balance tier, you will move up to the relevant rank and you will receive the relevant rank badge.

4) If your XRP balance at the snapshot date is lower than your XRP balance at the previous snapshot date and it falls within the same balance tier, your rank will be the same and your badge will be unchanged.

5) If your XRP balance at the snapshot date is lower than your XRP balance at the previous snapshot date and it falls in a lower balance tier, you will be downgraded to the relevant rank and you will receive the relevant rank badge.

6) If your XRP balance is below 1 at any snapshot date, you will exit the promotion and you won’t be able to enter the promotion again.

7) If your account status moves away from being in good standing, you will exit the promotion and you won’t be able to enter the promotion again.

8) General of the Army - There is no higher rank. Users that fall in that rank and buy more, will stay in the same badge.

How do you get promoted?

If you hold 500 XRP as of July 31st at 23:59 UTC, your rank for August will be First Lieutenant. If your XRP balance on August 31 at 23:59 UTC is at least 500, you will be promoted to Captain. If your XRP balance on September 30 at 23:59 UTC is at least 500, you will be promoted to Major. 

If you hold 500 XRP as of July 31st at 23:59 UTC, your rank for August will be First Lieutenant. If your XRP balance on August 31 at 23:59 UTC becomes 26,000, you will be promoted to Colonel.

If you hold 500 XRP as of July 31 at 23:59 UTC, your rank for August will be First Lieutenant. If your XRP balance on August 31st at 23:59 UTC is 300, your rank stays as First Lieutenant. If your XRP balance on September 30th at 23:59 UTC is 300, you will be promoted to Captain. 

If you hold 500 XRP as of July 31 at 23:59 UTC, your rank for August will be First Lieutenant. If your XRP balance on August 31st at 23:59 UTC is 300, your rank stays as First Lieutenant. If your XRP balance on September 30th at 23:59 UTC becomes 16,000, you will be promoted to Lieutenant Colonel.

If you hold 11,000 XRP as of July 31 at 23:59 UTC, your rank for August will be Major. If your XRP balance on August 31st at 23:59 UTC is 26,000, you will be promoted to Colonel. If your XRP balance on September 30th at 23:59 UTC falls to 1,500, you will be downgraded to Captain.

2) In the event of a dispute regarding the administration of these Rules, all decisions of Uphold shall be final.

3) Your use of the Uphold platform and participation in this Promotion are subject to Uphold general terms and conditions and privacy policy that are applicable to the jurisdiction in which you reside. 

4) You are responsible for any taxes that may be due based on your receipt of the Prize. The Prize has no cash value, and may not be substituted for another prize.

5) Uphold is not responsible for any failures of persons or systems that we do not directly control, such as mobile phone network operators, internet service providers, software providers and telephone traffic handlers. 

6) If any provision of these Rules is held to be illegal, invalid, void or otherwise unenforceable it shall be severed from the remaining provisions of these terms and conditions which shall as far as possible continue in full force and effect.

This document sets forth the rules for participation in the “Uphold XRP Army Promotion” (the “Promotion”).

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Rewards: All Eligible Referrers and Qualified Referral (both defined below) will each receive US$20 worth of bitcoin reward for each Qualified Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Cryptoasset trading involves a high degree of risk. This User Agreement (this “Agreement”) is for our users who are residents of, located in, or who access our Platform from, the United Kingdom, and governs the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and the services we provide to you. 

Where you are a developer, you must also agree to our Developer Agreement.

User Agreement - Uphold

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Verifying their identity using a government-issued ID – such as a passport or driver’s license

Accepting our User Agreement and Privacy & Data Policy

Defining expected use of the Uphold platform and substantiating funding sources and employment

We also may require that you provide or verify additional identifying information or wait some amount of time before permitting you to use the Uphold platform.

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

EEA User Agreement - Uphold

European Economic Area

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity
