The September Uphold CAT Giveaway (the “Promotion”) is open to all natural persons who:

Register their participation on the Uphold platform.

are residents of the United States (excluding New York and Florida); 

are 18 or older on September 26, 2024 at 00:01 AM Eastern Daylight Time (EDT); and, 

are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures; 

Purchase a minimum of fifty US dollars (US$50) during the Promotional Period

are a customer of Uphold in good standing at the time the Promotion Reward is distributed. 

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Promotion. 

Who Can Enter

The Promotional Period starts on September 26 2024, at 00:01 EDT, concluding on September 26, 2024 at 23:59 EDT (the “Promotion Period”). To qualify for an entry your transaction must be successfully executed on the Uphold platform by 23:59 EDT on the final day of the Promotional Period. Any pending transactions will not be considered for entry. 

Promotional Period

The first two hundred (200) eligible Uphold users to complete a qualifying CAT transaction, purchase a minimum of fifty US dollars ($50) during the Promotional Period as your first qualifying transactions you perform on the Uphold platform during the Promotional Period shall receive twenty-five US dollars ($25) of value in the form of CAT. Qualifying transactions include any cryptoasset, stablecoin or fiat to CAT transactions on the Uphold platform. The following are not considered qualifying transactions: (i) deposits of a fiat currency into the same fiat currency; (ii) withdrawals; (iii) transactions from a Tier 1 or Tier 2 asset (fiat currency) to a Tier 6 asset (stablecoins); (iv) transactions between Tier 6 assets (stablecoins); or (v) transactions sending any assets from one Uphold user to another. Entries are granted in whole amounts only. Prizes are limited to one per customer. 

The Promotion

The first two hundred (200) qualifying transactions will be eligible to receive twenty-five US dollars ($25), each $25 referred to as the Prize, in CAT (based on the mid-market rate as published on https://www.uphold.com/transparency as of September 26, 2024). The Prize is non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded, with a limit of one prize per eligible user. 

The Prize

The selected entrants will be notified within 24 hours of the ending of the Promotional Period via email to the primary email address associated with their Uphold account. The prize will be delivered to the winner’s account on the Uphold platform into their CAT sub-account within thirty (30) days after the Promotional Period ends.

Winner Notification and Prize Delivery

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Promotion.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified or incomplete survey. Entries in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Promotional Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Promotion. Uphold reserves the right at any time to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

You agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Promotion, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Promotion as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

Capitalized terms not defined herein shall have the meaning given to them in the General Terms and Conditions or the applicable User Agreement. By obtaining or using VCOIN, you understand and expressly agree to these VCOIN Terms, and you acknowledge that you have reviewed and understand each of the statements made in these Terms.

User Agreement for Residents of Countries Outside of the US, Europe, and UK

This User Agreement (this “Agreement”) is for our users who are residents of, or who access our Platform from, countries outside of the United States, the European Economic Area (EEA), the European Union (EU), or Switzerland, and governs the access and use of our mobile applications, products, software, websites, APIs and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. It is a binding contract between you and Uphold Worldwide Ltd., Reg No. 177867, Registered Office: Aristo House, Office A, The Balmoral, #78 Sanford Drive, Nassau, Bahamas. 

By using the Platform, you agree to follow and be bound by this Agreement and the associated General Terms and Conditions, including any policies referenced herein and therein, which are incorporated herein by reference. We may change the terms of this Agreement from time to time and at any time, with or without actual notice to you, though we will post notice of changes on the Platform. You should look at this Agreement regularly and your continued use of the Platform constitutes your acceptance of any revisions to this Agreement. If you do not agree to the modified terms for the Platform, you should discontinue your use of the Platform. In the event of a conflict between this Agreement and the Terms and Conditions, this Agreement shall prevail.

Hardware and Software Requirements

These General Terms and Conditions (these “Terms and Conditions”) govern the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. By using the Platform, you agree to follow and be bound by these Terms and Conditions, including any policies referenced herein. We may modify these Terms and Conditions or any additional terms that apply to the Platform to, for example, reflect changes to the law or changes to the Platform. You should look at these Terms and Conditions regularly and your continued use of the Platform will constitute your acceptance of any revisions to these Terms and Conditions. We will post notice of modified additional terms in the applicable service. If you do not agree to the modified terms for the Platform or any service we offer, you should discontinue your use of the Platform or that service.

Your use of the Platform is governed by additional agreements and terms, including our user agreements (each, a “User Agreement”) and any third-party terms and conditions. General Terms and Conditions - Uphold

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits, and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at a minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or wait some amount of time for a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust, or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, partnership agreement, or trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity
