To be eligible for this Promotion, a user must be:

Eligible users must authorize us to initiate recurring electronic BTC transactions “Recurring Transaction” in accordance and any corresponding payment accounts, such as direct debits from, or credits to, your linked bank account. 

Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in this Promotion.

Eligibility

Eligible users will qualify for the Promotion Reward by successfully setting up a BTC Recurring Buy of at least one hundred U.S dollars (US$100) or more in a single transaction. A maximum reward of one thousand U.S dollars in the form of BTC (US$1000) per user over the period of one calendar month (the “Promotion Reward”). The Promotion Reward shall be distributed by the 15th day of the following month in which the qualifying transaction was executed.

Recurring Buys where the source of funds is a credit or debit card unless you are on a discounted plan, earns 3% paid in BTC. Where the source of funds is not a credit or debit card, 1% paid in BTC applies.

Participation

This Promotion is valid from March 25, 2024, 00:00 am UTC to June 25, 2024, 11:59 pm UTC (the “Promotion Period”). To qualify for an entry, all purchases must be successfully executed on the Uphold platform by 23:59 UTC on the final day of the Promotion Period. Any pending purchases will not be considered for entry. Notwithstanding the foregoing, Uphold reserves the right, in its sole discretion and without providing any prior notice, to shorten, extend, modify or terminate this Promotion or Promotion Period in any way and at any time.

Promotional Period

Payment of the Promotion Reward will be made by the 15th day of the following month of which the qualifying trade was executed and will be deposited into your Uphold wallet. The Promotion Reward will be calculated based on the USD value of the purchased asset at the time of the transaction, and will be paid in BTC at the time of distribution (based on the mid-market rate as published on uphold.com/transparency).

For example, a single qualifying Recurring Buy using a credit or debit card of US$1000 worth of BTC made on March 26, 2024 would generate a Promotion Reward of up to US$30, which would be deposited to your Uphold Wallet by April 15th, 2024 in the form of BTC based mid-market price at the time of distribution.

If you close your Uphold account prior to the payment of the Promotion Reward or do not maintain your account in good standing at the time of the payment of the Promotion Reward, you will not be entitled to receive the Promotion Reward, and agree to waive and forfeit your right therein.

Payment

Participants are responsible for any costs associated with claiming any reward. Participants are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a reward in this Promotion.

Rewards must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any reward.

Uphold reserves the right at any time to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Promotion or any rewards awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and the decisions of Uphold in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other Terms; and the remainder of these Terms shall be given effect as if it had not included the severed item.

These Terms and Conditions (the “Terms”) govern the Uphold up to 3% BTC Rewards Promotion (herein referred to as the “Promotion”), effective from March 25th, 2024 00:00 AM Coordinated Universal Time(UTC), to June 25th, 2024 00:01 AM Coordinated Universal Time (UTC) (herein referred to as the “Promotional Period”). User Agreement for Residents of Countries Outside of the US, Europe, and UK

This User Agreement (this “Agreement”) is for our users who are residents of, or who access our Platform from, countries outside of the United States, the European Economic Area (EEA), the European Union (EU), or Switzerland, and governs the access and use of our mobile applications, products, software, websites, APIs and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. It is a binding contract between you and Uphold Worldwide Ltd., Reg No. 177867, Registered Office: Aristo House, Office A, The Balmoral, #78 Sanford Drive, Nassau, Bahamas. 

By using the Platform, you agree to follow and be bound by this Agreement and the associated General Terms and Conditions, including any policies referenced herein and therein, which are incorporated herein by reference. We may change the terms of this Agreement from time to time and at any time, with or without actual notice to you, though we will post notice of changes on the Platform. You should look at this Agreement regularly and your continued use of the Platform constitutes your acceptance of any revisions to this Agreement. If you do not agree to the modified terms for the Platform, you should discontinue your use of the Platform. In the event of a conflict between this Agreement and the Terms and Conditions, this Agreement shall prevail.

Hardware and Software Requirements

These General Terms and Conditions (these “Terms and Conditions”) govern the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. By using the Platform, you agree to follow and be bound by these Terms and Conditions, including any policies referenced herein. We may modify these Terms and Conditions or any additional terms that apply to the Platform to, for example, reflect changes to the law or changes to the Platform. You should look at these Terms and Conditions regularly and your continued use of the Platform will constitute your acceptance of any revisions to these Terms and Conditions. We will post notice of modified additional terms in the applicable service. If you do not agree to the modified terms for the Platform or any service we offer, you should discontinue your use of the Platform or that service.

Your use of the Platform is governed by additional agreements and terms, including our user agreements (each, a “User Agreement”) and any third-party terms and conditions. If you are a resident of the United States (US), your User Agreement is available here. General Terms and Conditions - Uphold

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits, and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at a minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or wait some amount of time for a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust, or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, partnership agreement, or trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity

General Terms

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and Qualified Referral (both defined below) will each receive US$20 worth of bitcoin reward for each Qualified Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Please be noted, that the value of the bitcoin is volatile and Uphold will be not responsible for any change in value.
