The Uphold Platform allows unrestricted users in good standing who reside in eligible jurisdictions to stake certain cryptocurrencies held on the Uphold Platform in a third-party proof-of-stake network. When you purchase a cryptocurrency that is eligible for staking (an “Eligible Cryptocurrency”), you may be given the option to participate in the Uphold’s staking program (the “Staking Program”) whereby you may earn rewards (“Staking Rewards”) based on the amount of Eligible Cryptocurrency you choose to stake. A minimum amount of Eligible Cryptocurrency may be required to participate in the Staking Program. Holders of Eligible Cryptocurrencies are not required to participate in the Staking Program, and participants may stop participating at any time, subject to the terms set forth below. Please view our FAQ for Staking for more information.

The Staking Program

If you reside in a country other than Australia, Canada, a member state of the European Economic Area, Mexico, New Zealand, South Africa, South Korea, Switzerland, the United Kingdom, or the United States, and you do not opt in to the Staking Program, you acknowledge and agree that Uphold may stake any Eligible Assets you hold on the platform in its own name and retain for itself any rewards earned. While Eligible Assets are staked on behalf of Uphold, you are not entitled to and will not receive any Staking Rewards, but you will not be subject to any unbounding periods (see below) with respect to your Eligible Assets. 

Special Terms for Users residing Outside of Australia, Canada, the European Economic Area, Mexico, New Zealand, South Africa, South Korea, Switzerland, the United Kingdom, or the United States

Based on the amount of Eligible Cryptocurrency that you choose to stake, you will be eligible to receive Staking Rewards. Staking Rewards are rewards paid in the same Eligible Cryptocurrency that is staked. 

Uphold earns a commission between 3% - 34% depending on the asset being staked. In order to ensure full transparency to our users, the estimated APY rate takes our commission into account.

You have no right to a Staking Reward unless and until the relevant reward is actually received by Uphold. Staking Rewards are delivered to your Uphold account weekly after any preparation period has been completed (see below). All Staking Rewards delivered to you will automatically be re-staked if possible, and will then themselves be eligible to receive Staking Rewards after the applicable preparation period.

Staking and Staking Rewards; Commission; Compounding

Any APY listed on the Uphold Platform is only an estimate of the potential annual percentage yield that participants may earn over the course of a year based on the then-current rewards offered by the relevant network of Eligible Cryptocurrency, after taking into account Uphold’s commission and the compounding of Staking Rewards earned. This estimate may change over time. The actual Staking Rewards you receive may be more or less than this amount. 

When you opt-in to the Staking Program, there may be a preparation period of up to four days before the amount you stake is eligible to receive Staking Rewards. You will be notified of any preparation period prior to staking your Eligible Cryptocurrency.

Preparation Periods

Depending on the Eligible Cryptocurrency, the network of the Eligible Cryptocurrency may require an “unbounding” period during which staked Eligible Cryptocurrency cannot be transferred, exchanged or withdrawn. This period varies, depending on each network of the Eligible Cryptocurrency, and is typically set at up to 30 days, but may be longer. Uphold will make reasonable efforts by managing liquidity to allow participants in the Staking Program to transfer, exchange or withdraw their staked Eligible Cryptocurrency prior to the completion of the relevant unbounding period, but in periods of high demand, you may be required to wait up to the full unbounding period specified by the relevant network, plus a short administrative period of up to 4 days. During any unbounding period in which your Eligible Cryptocurrency remains unable to be transferred, exchanged or withdrawn, you will not earn Staking Rewards. At the end of any applicable unbounding period, your Uphold account will be credited with the relevant Eligible Cryptocurrency and only then will it be available for transfer, exchange, or withdrawal.

Each asset has a minimum token per transaction amount, and a maximum weekly unstaking limit per the table below:

The relevant networks of Eligible Cryptocurrencies may charge “slashing fees” based on downtime or if the transaction validator representing the staked assets incorrectly validates a transaction. In the unlikely event that any slashing fees are charged based on the Eligible Cryptocurrency that you choose to stake using the Staking Program, Uphold will promptly reimburse you for any such amount charged.

UPHOLD MAKES NO GUARANTEES THAT ANY STAKING REWARDS WILL ACTUALLY BE EARNED, NOR THAT YOU WILL RECEIVE ANY PARTICULAR RETURN OVER TIME, INCLUDING ANY ESTIMATED APY RATE THAT MAY BE DISCLOSED. UPHOLD DOES NOT GUARANTEE THAT THE STAKING PROGRAM WILL REMAIN AVAILABLE ON A CONTINUOUS BASIS OR FOR ANY PERIOD OF TIME. TERMS OF STAKING MAY BE CHANGED BY THE NETWORKS OF THE RELEVANT ELIGIBLE CRYPTOCURRENCIES WITHOUT UPHOLD’S CONSENT, AND SUCH CHANGES MAY BE PASSED ON TO YOU. UPHOLD RESERVES THE RIGHT TO SUSPEND, WITHDRAW, AMEND, OR TERMINATE THE STAKING PROGRAM IN ITS SOLE DISCRETION, INCLUDING DESIGNATING AN ASSET AS AN ELIGIBLE CRYPTOCURRENCY.

The tax treatment of cryptocurrency may be uncertain in various jurisdictions around the world. You are solely responsible for reporting and paying any applicable taxes based on your transactions on the Uphold Platform, including any Staking Rewards that you may earn. 

Taxes

Ethereum (ETH) may be staked as an Eligible Cryptocurrency in the Staking Program, but staking ETH is subject to slightly different rules. ETH generally may not be unstaked until the Ethereum blockchain supports it. Uphold does not control when this may happen, and it may not happen. While ETH is staked, you may not transfer, exchange or withdraw it. However, Uphold may offer participants in the Staking Program the ability to unstake ETH depending on the activity of other participants in the Staking Program, i.e., if some participants continue to stake new ETH assets, Uphold may permit other participants to unstake ETH. This option may not be available at all times or for all the ETH that you have staked, particularly in times of high volatility. Uphold charges a 2% fee for unstaking ETH. Note that rewards earned for staking ETH are not re-staked, but while market conditions allow, Uphold will credit your account as if they were. Uphold reserves the right to suspend or discontinue the crediting of rewards on rewards for ETH in its sole discretion.

Special Terms for ETH Staking

In addition to the risks related to investment in cryptocurrency generally (see our Risks Specific To Holding Digital Assets and Important Disclosures), staking poses additional risks. Cryptocurrencies are volatile assets and cryptocurrencies that are staked may lose value over time, including over the period that they are staked and any unbounding period, and so an asset may earn rewards while staked but still lose value. You may not be able to liquidate your investment while assets are staked. You may not be able to unstake an Eligible Cryptocurrency until the end of the applicable unbounding period. ETH that is staked may not be able to be unstaked until the ETH network upgrades to version 2.0, which is out of the control of Uphold and may or may not occur. The networks of Eligible Cryptocurrencies may change rewards that are offered, preparation periods, or unbounding periods in their sole discretion. Do not stake assets unless you are able to bear the risk of waiting for any applicable unbounding period to end. You acknowledge that Uphold does not provide investment, legal, or tax advice to you in connection with your activity on the Uphold Platform, including your participation in the Staking Program. You should consult with your own investment, legal, and tax advisors prior to making any investment decision, including whether to participate in the Staking Program.

Risks; No Advice

These terms, in addition to our General Terms and Conditions and your applicable User Agreement, (available here for residents of the US; here if you are a resident of another country), govern your use of certain staking services on the Uphold Platform. Note that staking services are not currently available in Japan, Singapore, or in other jurisdictions in which Uphold does not generally make its services available. Capitalized terms not defined herein shall have the meaning given to them in the General Terms and Conditions or the applicable User Agreement.

Uphold’s services are offered to members based on specific terms and conditions. These documents detail exactly what you can expect of us, and what we expect of you when you use the platform.

User Agreement for Residents of Countries Outside of the US, Europe, and UK

This User Agreement (this “Agreement”) is for our users who are residents of, or who access our Platform from, countries outside of the United States, the European Economic Area (EEA), the European Union (EU), or Switzerland, and governs the access and use of our mobile applications, products, software, websites, APIs and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. It is a binding contract between you and Uphold Worldwide Ltd., Reg No. 16523, Registered Office: Unit #3B, Brysons Commercial Complex, Friars Hill Road, St. Johns, Antigua. 

By using the Platform, you agree to follow and be bound by this Agreement and the associated General Terms and Conditions, including any policies referenced herein and therein, which are incorporated herein by reference. We may change the terms of this Agreement from time to time and at any time, with or without actual notice to you, though we will post notice of changes on the Platform. You should look at this Agreement regularly and your continued use of the Platform constitutes your acceptance of any revisions to this Agreement. If you do not agree to the modified terms for the Platform, you should discontinue your use of the Platform. In the event of a conflict between this Agreement and the Terms and Conditions, this Agreement shall prevail.

These General Terms and Conditions (these “Terms and Conditions”) govern the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and, where applicable, other service providers available on or through the Platform. By using the Platform, you agree to follow and be bound by these Terms and Conditions, including any policies referenced herein. We may modify these Terms and Conditions or any additional terms that apply to the Platform to, for example, reflect changes to the law or changes to the Platform. You should look at these Terms and Conditions regularly and your continued use of the Platform will constitute your acceptance of any revisions to these Terms and Conditions. We will post notice of modified additional terms in the applicable service. If you do not agree to the modified terms for the Platform or any service we offer, you should discontinue your use of the Platform or that service.

Your use of the Platform is governed by additional agreements and terms, including our user agreements (each, a “User Agreement”) and any third-party terms and conditions. General Terms and Conditions - Uphold

General

Digital assets also referred to as cryptocurrency, are a digital representation of value that function as a medium of exchange, a unit of account, or a store of value. Cryptocurrencies are not legal tender, are not backed by the government or a central bank and generally have no underlying assets, revenue stream, or other sources of value tied to fiat currency or other assets. Their value is derived from market dynamics and has historically been more volatile relative to fiat currency and other assets. The unpredictability of the price of cryptocurrency relative to fiat currency may result in significant loss over a short period of time. The value of cryptocurrency may be derived from the continued willingness of market participants to exchange fiat currency for cryptocurrency, which may result in the potential for permanent and total loss of value of a particular cryptocurrency should the market for that cryptocurrency disappear. In certain cases, it may be difficult or impossible to liquidate a position quickly at a reasonable price due to various market factors, including illiquidity or actions by trading facilities. 

Legislative and regulatory changes or actions at the state, federal or international level may adversely affect the use, transfer, exchange, and value of cryptocurrencies. Several federal agencies have also published advisory documents surrounding the risks of virtual currency. For more information see the CFPB’s Consumer Advisory, the CFTC’s Customer Advisory, the SEC’s Investor Alerts and FINRA’s Investor Alerts.

Some cryptocurrency transactions shall be deemed to be made when recorded on a public ledger, which is not necessarily the date or time that the customer initiates the transaction. Cryptocurrency ownership is often determined by a decentralized public ledger that associates an amount of cryptocurrency with a unique address defined by a public cryptographic key. A private cryptographic key is required to transfer cryptocurrency from one address to another. Anyone with access to the private key associated with the address can transfer the associated cryptocurrency. Cryptocurrency transfers generally cannot be canceled or reversed and the identity of the holder of the private key associated with any address can be difficult, if not impossible, to ascertain. The nature of cryptocurrency may lead to an increased risk of fraud or cyber attack. If you are using cryptocurrency held on the Uphold platform to purchase goods or services, we have no visibility into the sellers and cannot control delivery, quality, safety, or legality. Losses due to fraudulent or accidental transactions may not be recoverable. If you have a dispute with sellers or buyers, you agree to deal directly with them and hold Uphold blameless in all disputes. The nature of cryptocurrency means that any technological difficulties experienced by Uphold may prevent the access or use of a user’s cryptocurrency.

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or to wait some amount of time a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, or trade secrets of any third party

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs

Gambling, except where permitted by and with our prior written permission

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Funding any of the items included on this Prohibited Businesses list

Extortion, blackmail, or efforts to induce unearned payments

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity

General Terms

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and referees will receive up to US$20 worth of bitcoin reward for each qualified “Wallet” Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Please be noted, that the value of the bitcoin may vary afterward and in such case, Uphold will be not responsible for that. These Uphold Institutional Portal Terms (“Portal Terms”) govern your access to and use of the Uphold Institutional Portal website and/or app (the “Portal”), to access the cryptoasset trading platform offered by the Uphold Group (the “Platform”). The Portal and the Platform are offered by entities that form part of the Uphold Group, depending on the jurisdiction of residence of the end user, including Uphold HQ Inc. (for customers residing in the United States), Uphold Europe, Ltd. (for customers residing in the UK), Uphold Lithuania UAB (for customers residing in the EEA), Uphold Operating Canada, Ltd. (for customers residing in Canada), and Uphold Worldwide Ltd. (for customers residing anywhere else the Portal is made available). These Portal Terms are issued on behalf of the relevant member of the Uphold Group based on the jurisdiction you reside in (“Uphold”, “we”, “us”, “our”) and are a legally binding contract between us and you, the individual end user, together with any company that you represent (“you” or “your”) collectively “the Parties”. 

These Portal Terms supplement the general terms and conditions applicable to the Platform (the “Platform Terms”), which are available here. To the extent these Portal Terms conflict with the Platform Terms, these Portal Terms will control. Any capitalized terms not defined herein will have the meaning given to them in the Platform Terms.
