The December Uphold XRP Sweepstakes (the “Sweepstakes”) is open to all natural persons who:

Register their participation on the Uphold platform.

are residents of the United States (excluding US Virgin Islands, New York and Florida); 

are 18 or older on December 1, 2023 at 00:01 AM Eastern Daylight Time (EDT); and, 

are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures; 

are a customer of Uphold in good standing at the time the Promotion Reward is distributed. 

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Sweepstakes. 

Who Can Enter

The Sweepstakes starts on December 1, 2023, at 00:01 EST, concluding on December 31, 2023 at 23:59 EST (the“Sweepstakes Period”). To qualify for an entry, all transactions must be successfully executed on the Uphold platform by 23:59 EST on the final day of the Sweepstakes Period. Any pending transactions will not be considered for entry.

Sweepstakes Period

To be eligible, you need to register your participation during the Sweepstakes Period. You can do this by clicking on the banner within the app that will be visible to all eligible participants and selecting ‘Opt-in.’ Opting in to the Sweepstakes is free and grants you one (1) entry in the draw.

Once you have registered, for all eligible transactions you perform on the Uphold platform during the Sweepstakes Period, you will automatically receive an additional one (1) entry in the draw for each US$20 in value involved. Eligible transactions include any transactions on the Uphold platform other than: (i) any deposits of a fiat or cryptocurrency into your Uphold account that are not used for a subsequent eligible transaction; (ii) withdrawals; (iii) transactions from a Tier 1 or Tier 2 asset (fiat currency) to a Tier 6 asset (stablecoins); (iv) transactions between Tier 6 assets (stablecoins); or (v) transactions sending any assets from one Uphold user to another. Entries are granted in whole amounts only. No entries are granted for transactions if the aggregate amount transacted in the Sweepstakes Period is less than US$20 or for partial amounts above US$20 thresholds. For example, if eligible transactions total US$68.00 during the Sweepstakes Period, you will receive three (3) entries. For the purposes of calculating the amount transacted, each eligible transaction value will be converted to USD at the rate in effect on the Uphold platform at the time of the transaction. There is no limit to the number of entries you may enter in the Sweepstakes via this method.

How to Enter

One (1) entry will be selected at the end of the Sweepstakes Period in a random draw from among all eligible entries received during the Sweepstakes Period for the grand prize; twenty-five (25) additional entries will be selected at the end of the Sweepstakes Period in a random draw from among all eligible entries received during the Sweepstakes Period for the other prizes. The winners will then receive an email informing them that they have won the Sweepstakes and will have the prize paid to their Uphold account within thirty (30) days. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Random Draw

One (1) grand prize winning entry will be randomly selected in a draw at the end of the Sweepstakes Period from all eligible entries to win 100,000 XRP tokens valued at approximately US$61,000 (based on the mid-market rate as published on https://uphold.com/transparency as of November 29th, 2023); twenty-five (25) additional winning entries will be randomly selected in a draw at the end of the Sweepstakes Period from all eligible entries to win a prize of 1,000 XRP tokens each, valued at approximately US$610 each (based on the mid-market rate as published on https://uphold.com/transparency as of November 29th, 2023). Entrants may only win one prize per person. All prizes are non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Prizes

The selected entrants will be notified within 24 hours of the draw via email to the primary email address associated with their Uphold account. The selected entrants will be required to acknowledge by email receipt of notification of eligibility for prize and confirmation of acceptance of these Terms and Conditions. If no response is obtained within 10 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected by computer from the remaining eligible entries. The prize will be delivered to the winners’ account on the Uphold platform into their XRP sub-account within thirty (30) days of receipt of acknowledgement from the winner.

Winner Notification and Prize Delivery

The winners are responsible for any costs associated with claiming any prize. The winners are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Sweepstakes.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, misidentified or incomplete transactions. Any transactions reasonably deemed to be fraudulent may be disqualified in the sole discretion of Uphold. This includes any transaction that does not comply with these Sweepstakes Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Sweepstakes. Uphold reserves the right at any time to withdraw this Sweepstakes or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Sweepstakes, winners consent to the use by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us at support@uphold.com. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winners agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Sweepstakes, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy. 

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
