Uphold Referral Program Terms

Not available in the United Kingdom.

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and Qualified Referral (both defined below) will each receive US$20 worth of bitcoin reward for each Qualified Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Please be noted, that the value of the bitcoin is volatile and Uphold will be not responsible for any change in value. Disclaimer: The Uphold Referral promotion is eligible only to customers based in the following countries: US (excluding the state of New York), Austria, Belgium, Bulgaria, Croatia, Republic of Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Greece, Hungary, Ireland, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Slovakia, Slovenia, Sweden, Iceland, Liechtenstein, Norway, Argentina, Bolivia, Brazil, Belize, Chile, Colombia, Costa Rica, Dominican Republic, Ecuador, Guatemala, Guyana, Honduras, Nicaragua, Panama, Peru, Puerto Rico (a territory of the United States), Paraguay, Suriname, El Salvador and Uruguay. (collectively, the “Referral Countries”).

Eligible Referrers

An “Eligible Referrer” is any verified member of Uphold.com over the age of 18 at the time of participation who is a resident of one of the Referral Countries. To confirm whether you are a verified member of Uphold.com, please check your account status from the Uphold.com homepage or the Uphold mobile app. To join Uphold.com as a member or to become a verified member, please go to Uphold.com or follow the prompts in the Uphold mobile app.

Eligible Referrals

For any person referred by an Eligible Referrer to be eligible to participate in the Referral Promotion and become an “Eligible Referral”, he/she must:

1. be over the age of 18;
2. be a NEW Uphold customer;
3. NOT be registered with Uphold.com or mobile apps prior to referral; and
4. be a resident of one of the Referral Countries.

Qualified Referrals

To be deemed a “Qualified Referral”, all of the following conditions must be met within thirty (30) calendar days of the Eligible Referral opening an account with Uphold:

1. The Eligible Referrer must invite his/her friend(s) to join Uphold by sending him/her the Eligible Referrer’s personal referral link.
2. The Eligible Referral must join Uphold by opening an account with Uphold by clicking on the Eligible Referrer’s personal referral link. For avoidance of doubt, if the Eligible Referral joins Uphold by any other method, including by visiting the Uphold site or Uphold app directly, then such referral shall not be deemed a Qualified Referral.
3. The Eligible Referral must become a verified Uphold member. To become a verified member, the Eligible Referral must complete Uphold’s standard “Know Your Customer” background check.
4. The Eligible Referral must fund his/her Uphold account with at least US$100.00 via bank transfer or Debit/Credit card (or equivalent in fiat or crypto currency at exchange rates provided by Uphold) during the Referral Program Period (set forth below).
5. The Eligible Referral must complete a transaction with a value of at least US$100.00 from a national currency into a cryptocurrency (or equivalent in fiat or crypto currency at exchange rates provided by Uphold) in his/her account.

Referral Promotional Period

The Referral Promotion is active from January 1 2025, 12:00 am EST to December 31, 2026, 11:59 pm EST, subject to Uphold’s right to terminate the Referral Program at any time without notice and in its sole discretion. Notwithstanding the foregoing, Uphold reserves the right to shorten, extend or modify the Referral Promotion Period any time in its sole discretion and without notice. All Qualified Referrals who first funded their account during the Referral Promotion Period will be eligible for the reward set forth above.

General Terms

Uphold is not responsible for any costs associated with claiming any reward. Use of the Uphold service, a requirement for participation in the Referral Promotion and claiming of payment, is subject to all relevant fees associated with the funding, transfer, exchange or removal of funds or value from accounts pursuant to Uphold’s standard charges, available at https://uphold.com/get-started/service-fees. The Referral Promotion and use of the Uphold service are subject at all times to the Uphold Membership Agreement, available at https://uphold.com/legal/membership-agreement/general. Violation of the Membership Agreement will constitute a violation of these terms and conditions and result in the disqualification of the user from the Referral Promotion. Rewards are not exchangeable or transferable other than via the Uphold service. Eligible Referrers are solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming a reward in the Referral Promotion.

Decisions of Uphold are in its sole discretion and final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to the Referral Promotion. Uphold memberships are limited to one per person, regardless of the email account or contact information. Any attempt to create multiple memberships or accounts for the same user (either by closing and re-opening accounts or by using different contact information) or other deceptive or fraudulent activity is strictly forbidden and will result in immediate disqualification of the user from the Referral Promotion. Uphold reserves the right at any time in its sole discretion and without notice, subject to applicable law, to withdraw the Referral Promotion, modify the reward, and/or modify, amend, or supplement these rules. The above mentioned changes do not affect the promotion that has been already paid out unless Uphold can prove that this was a result of client’s fraudulent activity or technical mistake.

Any personally identifiable information collected during an individual’s participation in the Referral Promotion and registration process with Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Referral Promotion as described in these terms and conditions and for the operation of the Uphold service and will be subject to Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Uphold, its subsidiaries and affiliated companies, and each of their respective directors, officers, employees, agents, representatives, advertising, promotion, and fulfillment agencies, and legal advisors are not responsible for and shall not be liable for: (i) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind, whether caused by equipment, programming used in this Referral Promotion, human processing or otherwise, or any combination thereof; (ii) failed, incomplete, garbled, or delayed computer transmissions; (iii) any condition caused by events beyond the control of Uphold that may cause the Referral Promotion to be disrupted or corrupted; (iv) any injuries, losses, or damages of any kind arising in connection with or as a result of the rewards, or acceptance, possession, or use of the rewards, or from participation in the Referral Promotion; or (v) any printing or typographical errors in any materials associated with the Referral Promotion. Uphold reserves the right, in its sole discretion, to suspend or cancel the Referral Promotion at any time if a computer virus, bug, tampering, unauthorized intervention, or other technical problem of any sort corrupts the administration, security, or proper play of the Referral Promotion. Uphold also reserves the right to disqualify, in its sole discretion, any person tampering with the participation process, the operation of Uphold’s site or app, or who is otherwise in violation of these terms and conditions. Any attempt to damage the Uphold site or app or undermine the legitimate operation of the Referral Promotion is a violation of criminal and civil laws. Should such an attempt be made, Uphold reserves the right to prosecute violators to the fullest extent allowable by law.
