The November Uphold XRP Sweepstakes (the “Sweepstakes”) is open to all natural persons who:

Register their participation on the Uphold platform.

are residents of the United States (excluding US Virgin Islands, New York and Florida); 

are 18 or older on November 1, 2023 at 00:01 AM Eastern Daylight Time (EDT); and, 

are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures; 

are a customer of Uphold in good standing at the time the Promotion Reward is distributed. 

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Sweepstakes. 

Who Can Enter

The Sweepstakes starts on November 1, 2023, at 00:01 EDT, concluding on November 30, 2023 at 23:59 EST (the“Sweepstakes Period”). To qualify for an entry, all transactions must be successfully executed on the Uphold platform by 23:59 EST on the final day of the Sweepstakes Period. Any pending transactions will not be considered for entry.

Sweepstakes Period

To be eligible, you need to register your participation during the Sweepstakes Period. You can do this by clicking on the banner within the app that will be visible to all eligible participants and selecting ‘Opt-in.’ Opting in to the Sweepstakes is free and grants you one (1) entry in the draw. 

Once you have registered, for all eligible transactions you perform on the Uphold platform during the Sweepstakes Period, you will automatically receive an additional one (1) entry in the draw for each US$20 in value involved. Eligible transactions include any transactions on the Uphold platform other than: (i) deposits of a fiat currency into the same fiat currency; (ii) withdrawals; (iii) transactions from a Tier 1 or Tier 2 asset (fiat currency) to a Tier 6 asset (stablecoins); (iv) transactions between Tier 6 assets (stablecoins); or (v) transactions sending any assets from one Uphold user to another. Entries are granted in whole amounts only. No entries are granted for transactions if the aggregate amount transacted in the Sweepstakes Period is less than US$20 or for partial amounts above US$20 thresholds. For example, if eligible transactions total US$68.00 during the Sweepstakes Period, you will receive three (3) entries. For the purposes of calculating the amount transacted, each eligible transaction value will be converted to USD at the rate in effect on the Uphold platform at the time of the transaction. There is no limit to the number of entries you may enter in the Sweepstakes via this method.

How to Enter

One entry will be selected at the end of the Sweepstakes Period in a random draw from among all eligible entries received during the Sweepstakes Period. The winner will then receive an email informing them that they have won the Sweepstakes and will have the prize paid to their Uphold account within thirty (30) days. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Random Draw

One (1) winning entry will be randomly selected in a draw at the end of the Sweepstakes Period from all eligible entries to win 50,000 XRP tokens valued at approximately US$28,950 (based on the mid-market rate as published on https://uphold.com/transparency as of October 30th, 2023). The prize is non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Prizes

The selected entrant will be notified within 24 hours of the draw via email to the primary email address associated with their Uphold account. The selected entrant will be required to acknowledge by email receipt of notification of eligibility for prize and confirmation of acceptance of these Terms and Conditions. If no response is obtained within 10 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected by computer from the remaining eligible entries. The prize will be delivered to the winner’s account on the Uphold platform into their XRP sub-account within thirty (30) days of receipt of acknowledgement from the winner.

Winner Notification and Prize Delivery

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Sweepstakes.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, misidentified or incomplete transactions. Any transactions reasonably deemed to be fraudulent may be disqualified in the sole discretion of Uphold. This includes any transaction that does not comply with these Sweepstakes Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Sweepstakes. Uphold reserves the right at any time to withdraw this Sweepstakes or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Sweepstakes, winners consent to the use by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winner agrees to abide by and be bound by these Terms and Conditions, and understands that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Sweepstakes, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy. 

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

General Terms

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and referees will receive up to US$20 worth of bitcoin reward for each qualified “Wallet” Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Electronic Funds Transfer Agreement

Digital assets also referred to as cryptocurrency, are a digital representation of value that function as a medium of exchange, a unit of account, or a store of value. Cryptocurrencies are not legal tender, are not backed by the government or a central bank and generally have no underlying assets, revenue stream, or other sources of value tied to fiat currency or other assets. Their value is derived from market dynamics and has historically been more volatile relative to fiat currency and other assets. The unpredictability of the price of cryptocurrency relative to fiat currency may result in significant loss over a short period of time. The value of cryptocurrency may be derived from the continued willingness of market participants to exchange fiat currency for cryptocurrency, which may result in the potential for permanent and total loss of value of a particular cryptocurrency should the market for that cryptocurrency disappear. In certain cases, it may be difficult or impossible to liquidate a position quickly at a reasonable price due to various market factors, including illiquidity or actions by trading facilities. 

Legislative and regulatory changes or actions at the state, federal or international level may adversely affect the use, transfer, exchange, and value of cryptocurrencies. Several federal agencies have also published advisory documents surrounding the risks of virtual currency. Some cryptocurrency transactions shall be deemed to be made when recorded on a public ledger, which is not necessarily the date or time that the customer initiates the transaction. Cryptocurrency ownership is often determined by a decentralized public ledger that associates an amount of cryptocurrency with a unique address defined by a public cryptographic key. A private cryptographic key is required to transfer cryptocurrency from one address to another. Anyone with access to the private key associated with the address can transfer the associated cryptocurrency. Cryptocurrency transfers generally cannot be canceled or reversed and the identity of the holder of the private key associated with any address can be difficult, if not impossible, to ascertain. The nature of cryptocurrency may lead to an increased risk of fraud or cyber attack. If you are using cryptocurrency held on the Uphold platform to purchase goods or services, we have no visibility into the sellers and cannot control delivery, quality, safety, or legality. Losses due to fraudulent or accidental transactions may not be recoverable. If you have a dispute with sellers or buyers, you agree to deal directly with them and hold Uphold blameless in all disputes. The nature of cryptocurrency means that any technological difficulties experienced by Uphold may prevent the access or use of a user’s cryptocurrency.

Risks Specific to Holding Digital Assets - United States

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or to wait some amount of time a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, or trade secrets of any third party

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs

Gambling, except where permitted by and with our prior written permission

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Funding any of the items included on this Prohibited Businesses list

Extortion, blackmail, or efforts to induce unearned payments

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity
