Who Can Enter

The Giveaway starts on May 20, 2024, at 00:01 EST, concluding on May 31, 2024 at 23:59 EST (the “Giveaway Period”). To qualify for an entry, all engagements must be successfully executed on the Uphold X Channel (@upholdinc) by 23:59 EST on the final day of the Giveaway Period.

Giveaway Period

To be eligible, you need to have an X account and an active Uphold account in good standing. Additionally you must follow UpholdInc on X, Like, and Retweet 1 of the giveaway posts. Completing these steps grants you one (1) entry in the draw.

Entries are granted only for fully completed steps. No entries are granted for engagements that have not completed all steps required. Engaging with multiple posts does not grant multiple entries. Only 1 entry per account will be granted.

How to Enter

Ten (10) entries will be selected at the end of the Giveaway Period in a random draw from among all eligible entries received during the Giveaway Period. The winners will then receive a Direct Message (DM) on X from the official UpholdInc account (@upholdinc) informing them that they have won the Giveaway and will need to complete a form providing Uphold account ID and transfer details. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Random Draw

Ten (10) grand prize winning entries will be randomly selected in a draw at the end of the Giveaway Period from all eligible entries to win BTC, ETH, and XRP tokens valued at approximately US$100 (based on the mid-market rate as published on https://uphold.com/transparency as of May 31st, 2024. All prizes are non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Payment

The selected entrants will be notified within 72 hours of the draw via DM. The selected entrants will be required to: acknowledge by DM receipt of notification of eligibility for prize, confirmation of acceptance of these Terms and Conditions, and to complete the provided form including requested information. If no response is obtained within 7 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected from the remaining eligible entries. The prize will be delivered to the winners’ Uphold account within thirty (30) days of receipt of acknowledgement and completion of additional form from the winner.

Winner Notification, Form Request and Prize Delivery

The winners are responsible for any costs associated with claiming any prize. The winners are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Giveaway.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, misidentified or incomplete transactions. Any transactions reasonably deemed to be fraudulent may be disqualified in the sole discretion of Uphold. This includes any transaction that does not comply with these Sweepstakes Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Giveaway. Uphold reserves the right at any time to withdraw this Giveaway or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Giveaway, winners consent to the use by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winners agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Giveaway, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Giveaway as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Giveaway or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

General Terms

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and Qualified Referral (both defined below) will each receive US$20 worth of bitcoin reward for each Qualified Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. This disclosure contains important information about your use of electronic fund transfer (“EFT”) services in relation to your Uphold Account (“Account”).  Whenever you accept or authorize EFTs, you agree to these terms and conditions, in addition to any other applicable limitations in the User Agreement. Electronic Funds Transfer Agreement

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or to wait some amount of time a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity
