1.1 - In certain jurisdictions, the Uphold Platform allows you to hold, transfer and exchange VCOIN, a cryptographic digital asset built on the Ethereum Network and sold by IMVU, Inc. (“IMVU”) that is intended for use in connection with the virtual world platform operated by IMVU (“VCOIN”). Users wishing to transfer VCOIN onto the Uphold Platform from the IMVU virtual world platform must abide by the IMVU Terms of Service, available here, and a breach of such Terms of Service shall be deemed to be a breach of these Terms. IMVU is not affiliated with Uphold. 

1.2 - VCOIN may only be exchanged on the Uphold Platform for the fiat currency of your home country. Any exchange into fiat currency is subject to any applicable exchange fees or spreads as generally charged to users of the Uphold Platform.

1.3 - All VCOIN purchased on the IMVU virtual world platform must be held for a minimum period of time as set by IMVU prior to it being transferred to the Uphold Platform. IMVU may set maximum daily and monthly amounts that you may transfer to the Uphold Platform and/or convert to fiat currency. IMVU may change these limits at its sole discretion.

1.4 - You acknowledge and agree that VCOIN is not intended by IMVU to be an investment opportunity of any kind and should not be perceived as one, consistent with the factual basis for the no-action relief that IMVU received from the Securities and Exchange Commission Staff with respect to the sale of VCOIN, available at: https://www.sec.gov/corpfin/imvu-111920-2a1. VCOIN is not intended to be treated as a “security” in any jurisdiction.

1.5 - In order to properly process and validate VCOIN transactions between the IMVU virtual world platform and the Uphold Platform, or to link your Uphold account to the IMVU virtual world platform, Uphold may share your Personal Data, including your Uphold account information and transaction history, with IMVU, and IMVU may share certain Personal Data gathered by IMVU with Uphold. All such processing of Personal Data by Uphold is subject to our Privacy & Data Policy as well as IMVU’s Privacy Notice. 

1.6 - By obtaining or using VCOIN, you agree and understand that we are not responsible to any non-verified user that uses VCOIN or for any third-party that supports VCOIN, including IMVU. You also agree and understand that you will not make us, IMVU, or any of our third-party service providers a party to any dispute involving a non-verified user that uses VCOIN or a third-party that supports VCOIN. You further agree and understand that neither we nor IMVU nor any of our third-party service providers are responsible for your use (or misuse) of VCOIN on the Ethereum Network or otherwise and that you will not make us, IMVU and/or any of our third-party service providers a party to any dispute involving your use (or misuse) of VCOIN on the Ethereum Network or otherwise. In any event, you hereby agree to indemnify us, IMVU and/or any of our third-party service providers for any and all costs, including legal costs, which are reasonably incurred by us, IMVU and/or any of our third-party service providers and related to any such disputes.

1.7 - By obtaining or using VCOIN, you agree and understand that we are not responsible to any non-verified user that uses VCOIN or for any third party that supports VCOIN, including IMVU. You also agree and understand that you will not make us, IMVU, or any of our third-party service providers a party to any dispute involving a non-verified user that uses VCOIN or a third party that supports VCOIN. You further agree and understand that neither we nor IMVU nor any of our third-party service providers are responsible for your use (or misuse) of VCOIN on the Ethereum Network or otherwise, and that you will not make us, IMVU and/or any of our third-party service providers a party to any dispute involving your use (or misuse) of VCOIN on the Ethereum Network or otherwise. In any event, you hereby agree to indemnify us, IMVU and/or any of our third-party service providers for any and all costs, including legal costs, which are reasonably incurred by us, IMVU and/or any of our third-party service providers and related to any such disputes.

These terms, in addition to our User Agreement for Residents of the UK, govern your use of VCOIN on the Uphold Platform. Capitalised terms not defined herein shall have the meaning given to them in the User Agreement. By obtaining or using VCOIN, you understand and expressly agree to these VCOIN Terms, and you acknowledge that you have reviewed and understand each of the statements made in these Terms. 

Uphold’s services are offered to members based on specific terms and conditions. These documents detail exactly what you can expect of us, and what we expect of you when you use the platform.

VCOIN Terms - Uphold

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity

Prohibited Businesses and Prohibited Use - Uphold

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Providing: Their full legal name, Date of birth, Home address, Country of residence, Country of citizenship, Email address, Phone number.

Verifying their email address and phone number

Verifying their identity using a government-issued ID – such as a passport or driver’s license

Accepting our User Agreement and Privacy & Data Policy

Confirming review of applicable disclosures related to the risks associated with buying, selling and trading cryptocurrency

Defining expected use of the Uphold platform and substantiating funding sources and employment

We also may require that you provide or verify additional identifying information or wait some amount of time before permitting you to use the Uphold platform.

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

Through our partnership with Optimus Cards UK Limited which is authorised and regulated by the Financial Conduct Authority to issue e-money (FRN: 902034) pursuant to the Electronic Money Regulations 2011 (“Optimus”), we collectively provide electronic money accounts for fiat currencies and related payment services. 

Uphold Europe Limited (“Uphold”) is an EMD agent of Optimus. 

The e-money services enable you to hold fiat balances in various fiat currencies (e.g., GBP and USD) in e-money accounts (“E-Money Account”) and transfer fiat funds to other users of the Platform and third parties using funds held in your E-Money Account. The currencies available are set out on the Platform. 

Please read these Terms and Conditions (the “Terms”) carefully before you agree to use an E-Money Account or any related services provided by or through Optimus.

Terms not defined in these Terms have the same meaning given to them in the Agreement. 

References to “we” and “us” in the Terms refer to Uphold and Optimus (as the case may be).

Cryptoasset trading involves a high degree of risk. Cryptoassets may experience frequent price volatility due to (i) the small use of Cryptoassets in the retail and commercial marketplace in comparison to relatively large use by speculators and (ii) the lack of assurance that a person or institution who accepts Cryptoassets as payment today will continue to do so in the future. Such price volatility may adversely affect an investment in Cryptoassets so prior to using Uphold, please evaluate the merits and risks of the investment and be able to bear the economic risk of losing your entire investment in a short period of time. 

This User Agreement (this “Agreement”) is for our users who are residents of, located in, or who access our Platform from, the United Kingdom, and governs the access and use of our mobile applications, products, software, websites, APIs, and other services (our “Platform”) and the services we provide to you. 

Where you are a developer, you must also agree to our Developer Agreement.

This is a binding contract between you and Uphold Europe Limited, Company No. 09281410, Registered Office: Eastcastle House, 27/28 Eastcastle Street, London, United Kingdom, W1W 8DH (“Uphold”). 

Before signing up to Uphold and accessing or using any of our services, you must read, agree and accept all of the terms and conditions contained in this Agreement, as well as our Privacy Policy available.

These Unique Account Number (“UAN”) Terms of Use (these “Terms of Use”), which are incorporated in full into your User Agreement for Residents of Europe and the UK (your “User Agreement”), govern your use of the UAN created on our Platform in the territories where we offer UANs. All capitalized terms not defined in these Terms of Use shall have the meaning set forth in your User Agreement.

UPHOLD IS NOT A DEPOSITORY FINANCIAL INSTITUTION OR A BANK. THE FUNDS RECEIVED USING YOUR UAN ARE NOT HELD WITH UPHOLD. THEY ARE HELD IN A SEGREGATED ACCOUNT WITH A REGULATED FINANCIAL INSTITUTION IN THE NAME OF UPHOLD AND FOR THE BENEFIT OF OUR CUSTOMERS THAT USE UANs. THIS ACCOUNT IS USED EXCLUSIVELY FOR THE PURPOSE OF HOLDING AND PROCESSING CUSTOMER FUNDS, WHICH ARE CREDITED OR DEBITED TO YOUR UPHOLD ACCOUNT AS APPROPRIATE.

By creating and using a UAN, you agree to follow and be bound by these Terms of Use and your User Agreement and the associated General Terms and Conditions, including any policies referenced herein and therein. You also agree that you have read and agreed to the Unique Account Numbers FAQs.

These Uphold Institutional Portal Terms (“Portal Terms”) govern your access to and use of the Uphold Institutional Portal website and/or app (the “Portal”), to access the cryptoasset trading platform offered by the Uphold Group (the “Platform”). The Portal and the Platform are offered by entities that form part of the Uphold Group, depending on the jurisdiction of residence of the end user, including Uphold HQ Inc. (for customers residing in the United States), Uphold Europe, Ltd. (for customers residing in the UK), Uphold Lithuania UAB (for customers residing in the EEA), Uphold Operating Canada, Ltd. (for customers residing in Canada), and Uphold Worldwide Ltd. (for customers residing anywhere else the Portal is made available). These Portal Terms are issued on behalf of the relevant member of the Uphold Group based on the jurisdiction you reside in (“Uphold”, “we”, “us”, “our”) and are a legally binding contract between us and you, the individual end user, together with any company that you represent (“you” or “your”) collectively “the Parties”. 

These Portal Terms supplement the general terms and conditions applicable to the Platform (the “Platform Terms”), which are available here. To the extent these Portal Terms conflict with the Platform Terms, these Portal Terms will control. Any capitalized terms not defined herein will have the meaning given to them in the Platform Terms.

By utilizing the Portal, you agree to follow and be bound by these Portal Terms, including any policies referenced herein. These Portal Terms, together with any additional terms that apply to the Portal, may be modified without notice to reflect changes to the law or the Portal. You should regularly review the Portal Terms and your continued use of the Portal will constitute your acceptance of any revisions to these Portal Terms.
