Welcome to the “Predict the Asset Weekly Contest” (“Contest”) owned and operated by Uphold, as defined in the Uphold Terms of Use set forth here (“Uphold Terms”).

Uphold.com is a platform providing various products and services to global customers, which are subject to different laws and regulations in different jurisdictions. By making the Contest available on Uphold.com and/or any other Uphold websites and applications, including but not limited to mobile applications (collectively, the “Platform”), Uphold is not making, and shall not be regarded as having made or intended to make, an invitation or inducement to you to invest in any Uphold products or services. This Contest is a skill-based contest, not a sweepstake or game of chance.

Please read these Predict the Asset Weekly Contest Terms and Conditions (“Contest Terms”) carefully, as they govern your access to and use of the Contest. If you do not agree to these Contest Terms or any other terms that are incorporated by reference herein (which may be amended from time to time without further notice), please cease participation immediately and do not continue to use the Contest.

For the avoidance of doubt, your continued access to and use of the Contest shall constitute your acceptance of these Contest Terms and all other terms that are incorporated herein, including any updates or modifications to them from time to time.

  1. ACCEPTANCE AND MODIFICATION OF CONTEST TERMS

    1. These Contest Terms (as updated from time to time) govern your access to and participation in the Contest, and form a legally binding agreement between you (hereinafter referred to as “you” or “your”) and Uphold (hereinafter also referred to as “us,” “our,” or “we”).
    2. By accessing, using, or attempting to use the Contest in any capacity, and/or by clicking on “I agree” to accept any Uphold Services provided by Uphold in connection with this Contest, you acknowledge and agree that: (a) you have read, understood, accepted, and agree to be bound by these Contest Terms, the Uphold Terms (the terms of which shall be fully incorporated by reference into these Contest Terms), and our Privacy Policy accessible here: https://www.uphold.com/en-us/legal/privacy-policy; (b) you are aware of, and shall assume all risks associated with transactions involving digital assets; and (c) Uphold shall not be liable for any such risks or adverse outcomes relating to the same.
    3. We may change or amend these Contest Terms, or add new or remove existing features and modify any part of the Contest, at any time at our sole and absolute discretion. Any changes or amendments to these Contest Terms will be effective as of the “Last Revised” date referred to at the top of this page. You also acknowledge and agree that Uphold may (but shall not be obliged to) notify you of any changes to the Contest or to these Contest Terms. In this regard, you agree to regularly refer to these Contest Terms and any other announcements that Uphold may make from time to time, through such communication channels as Uphold may deem fit.
    4. By participating in this Contest, winners consent to the use by Uphold of their first name and last name and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. Any personally identifiable information collected during an individual's participation in the Contest will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Contest as described in these Contest Terms, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/en-us/legal/privacy-policy.
  2. DEFINITIONS

    1. Unless expressly defined in these Contest Terms, or where the context otherwise requires, all words and expressions used in these Contest Terms shall have the same meaning as defined in the Uphold Terms. For clarity, “Uphold Services” as defined in the Uphold Terms shall include your participation in this Contest. In the event of any conflict between these Contest Terms and the Uphold Terms, the provisions in the Uphold Terms shall prevail.
  3. CONTEST DETAILS

    1. The Contest is a skill-based competition in which eligible users are invited to predict the closing price of a designated crypto asset for each weekly contest period. The Contest runs from Monday 00:00 ET to Sunday 23:59 ET on a recurring weekly basis.
    2. Users must submit their predictions at least six (6) hours before the Contest closing time on Sunday 23:59 ET (“Prediction Cut-Off”), which means the final prediction must be submitted by Sunday 17:59 ET.
    3. The official “Closing Price” of the selected asset will be based on Uphold’s internal data at 00:01 ET each Monday. This price reflects market data sourced from CryptoCompare.com and is used consistently both in the user interface and in determining contest results. This ensures transparency and alignment between the price users see when submitting their predictions and the price used to determine winners.
    4. The designated asset for the Contest will be XRP for the foreseeable future. Although no changes to the featured asset are currently planned, Uphold reserves the right to designate a different asset in the future. Any such change will be communicated clearly and in advance. Future asset selection may consider factors such as market relevance, trading volume, user engagement, and internal commercial or product priorities.
    5. The top 101 users whose predictions are closest to the Closing Price at the end of the weekly contest period will share a tiered prize pool of eleven thousand US dollars (USD 11,000) in XRP (or another asset of Uphold’s choosing), as further described in Section 5 of these Contest Terms.
  4. ELIGIBILITY AND REQUIREMENTS

    1. Eligible users may participate in the Contest by either:
      • (a) Authorising Uphold (via the official Contest entry interface on the Platform) to access and process relevant account and transaction data for the purpose of administering the Contest, and completing at least one Qualifying Transaction (as defined in Section 4.2) during the Contest Period; or
      • (b) Write your primary email address associated with your Uphold account and mail it to: Uphold Predict the Asset Weekly Contest, c/o Uphold HQ Inc., 228 Park Ave. S., #50458, New York, NY 10003-1502, to be received on or before the Contest Period end date. Only one mailed in entry per person is allowed.
    2. A “Qualifying Transaction” is defined as one or more cumulative buy, swap, or sell transactions totalling fifty US dollars (USD 50) or more during the Contest Period in any supported crypto asset on the Platform, where the origin and destination assets are different. The following types of transactions are not considered Qualifying Transactions and will not count toward prediction entries:
      • Deposits where no asset conversion occurs (e.g. bank transfers, card payments, crypto deposits held in the same asset)
      • Withdrawals where no asset conversion occurs (e.g. fiat or crypto withdrawals without prior asset conversion)
      • Peer-to-peer transfers (including sending to another Uphold user)
      • Transactions where the origin and destination assets are the same (e.g. BTC to BTC, USD to USD)
      • Fiat-to-fiat transactions (e.g. USD to EUR)
      • Fiat-to-stablecoin transactions (e.g. USD to USDC)
    3. Clarifications:
      • Stablecoin-to-fiat transactions are valid and will count toward Qualifying Transactions.
      • Fiat-to-crypto and crypto-to-fiat transactions are valid.
      • Cumulative transactions are permitted - multiple smaller transactions that total at least USD 50 during the Contest Period qualify.
      • Only completed and successful transactions during the Contest Period are eligible
    4. To be eligible to participate in the Contest, individuals must meet all of the following criteria:
      • Must reside in the United States, excluding residents of New York and the U.S. Virgin Islands.
      • Must be at least 18 years old at the time of entry
      • Must have successfully completed identity verification (IDV) and any additional “know your customer” (KYC) procedures as required by Uphold
      • Must have an Uphold account that is active, in good standing, and fully compliant with the Uphold Terms of Use
      • Must have either completed at least one Qualifying Transaction as defined in Section 4.2, or by writing to us during the Contest period, as described in Section 4.1.
    5. Employees, affiliates, contractors, and agents of Uphold, as well as their immediate family members, are not eligible to participate in the Contest.
    6. Uphold reserves the right, in its sole discretion, to disqualify any user who is found to be in violation of these Contest Terms, the Uphold Terms, engaged in fraudulent or manipulative practices, or is otherwise ineligible under applicable law.
  5. REWARDS AND PRIZE ALLOCATION

    1. At the end of each weekly Contest period, the top 101 eligible users whose predictions are closest to the Closing Price will share a total prize pool of eleven thousand US dollars (USD 11,000), distributed according to a tiered structure. The top-ranked predictor will receive a grand prize of ten thousand US dollars (USD 10,000), and each of the next one hundred (100) closest predictors will receive ten US dollars (USD 10) each - all awarded in the equivalent value of XRP (or another asset of Uphold’s choosing). The USD-to-XRP conversion will be calculated using Uphold’s internal price view at the time of prize distribution, based on the prevailing XRP rate as determined through CryptoCompare.com data.
    2. In the event that two or more users submit the same prediction, and such prediction is ranked among the top positions, the user who submitted that prediction earlier (based on Platform timestamps) will be deemed to have the higher ranking.
    3. All prize allocations are subject to verification of eligibility and compliance with these Contest Terms. Winners will be notified by email, and prizes will generally be credited within seven (7) business days following the end of the applicable weekly Contest period, unless otherwise specified by Uphold.
    4. Any taxes, duties, or fees associated with receiving a prize under this Contest, including any potential reporting or disclosure obligations, shall be the sole responsibility of the user. Uphold makes no representations regarding tax implications or liabilities. Users are advised to consult with their own tax advisors.
    5. If a user fails to satisfy the verification of eligibility or other requirements set out in these Contest Terms, or if a user is otherwise disqualified for any reason, Uphold reserves the right to reallocate the prize or withhold the prize entirely, at Uphold’s sole discretion.
  6. DISCLAIMERS AND EXCLUSIONS

    1. You acknowledge and agree that the Contest and any content, features, or services provided in connection with it, are made available on an “as is” and “as available” basis, without warranties of any kind.
    2. Nothing in this Contest is intended to, and shall not be construed as, providing any financial or investment advice. You further acknowledge that digital assets are highly volatile, and the act of predicting future prices involves inherent risk, which you voluntarily assume.
    3. You acknowledge that no material provided to you in connection with the Contest, whether aggregated, obtained, or derived from external sources (including but not limited to other Uphold users, CryptoCompare.com data, or statistical services), shall form the sole basis for any investment or trading decisions. You are advised to conduct independent research and due diligence.
    4. To the maximum extent permitted under applicable law, Uphold expressly disclaims, and you agree to waive, any and all other warranties of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, or warranties arising from a course of performance, course of dealing, or usage in trade.
    5. You agree that Uphold shall not be liable for any losses or damages arising out of or relating to (a) any inaccuracy, defect, or omission of digital asset price data; (b) any error or delay in the transmission of such data; (c) interruption in any such data; (d) any maintenance or operational issues that cause suspension or interruption of the Contest; (e) any errors or omissions in your predictions; or (f) any acts by third parties beyond Uphold’s reasonable control, including illegal or unauthorized actions by others.
  7. RISK DISCLOSURE

    1. You understand that trading digital assets and participating in price prediction contests involves significant risk, including the potential loss of all principal or initial investment. Digital asset values can fluctuate widely and unpredictably.
    2. By using the Contest, you acknowledge that Uphold shall not be responsible for any risks, losses, or adverse outcomes resulting from the inherent volatility of digital assets or from your participation in this Contest.
  8. LIMITATION OF LIABILITIES

    1. To the maximum extent permitted by applicable law, in no event will Uphold, its affiliates, or their respective shareholders, directors, officers, employees, attorneys, agents, representatives, suppliers, or contractors be liable for any incidental, indirect, special, punitive, consequential, or similar damages whatsoever (including, without limitation, damages for loss of data, information, revenue, profits, or other business or financial benefits) arising out of the Contest, any performance or non-performance of Uphold Services, or any other product, service, or item provided by or on behalf of Uphold, whether under contract, statute, strict liability, or other theory, even if Uphold has been advised of the possibility of such damages.
    2. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.
    3. Notwithstanding the foregoing, in no event will the liability of Uphold, its affiliates, or their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers, or contractors arising out of or relating to the Contest exceed the amount of any fees paid by you to Uphold for participation in the Contest in the twelve-month period immediately preceding the event giving rise to the claim for liability.
  9. INDEMNIFICATION

    1. You agree to indemnify and hold harmless Uphold, its affiliates, contractors, licensors, and their respective directors, officers, employees, and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses, and damages (including attorneys’ fees, fines, or penalties imposed by any regulatory authority) arising out of or related to (i) your participation in the Contest, including any predictions made by you, (ii) any breach or our enforcement of these Contest Terms, (iii) your violation of any applicable law, regulation, or rights of any third party, or (iv) any misconduct, fraud, or misuse of the Uphold Services.
    2. If you are obligated to indemnify Uphold, its affiliates, contractors, licensors, or their respective directors, officers, employees, or agents pursuant to these Contest Terms, Uphold will have the right, in its sole discretion, to control any action or proceeding and to determine whether Uphold wishes to settle, and if so, on what terms.
  10. RESOLVING DISPUTES: FORUM, ARBITRATION, AND CLASS ACTION WAIVER

    1. The dispute resolution provisions set out in the Uphold Terms under “Resolving Disputes: Forum, Arbitration, Class Action Waiver” apply in their entirety to your access to and use of the Contest, as if the same were expressly set out in these Contest Terms.
    2. You expressly acknowledge that you are waiving the right to participate in any class action or collective proceeding and that any dispute relating to the Contest must be resolved on an individual basis, in accordance with the arbitration provisions set out in the Uphold Terms.

      By participating in this Contest, you acknowledge and agree that you have read, understood, and accepted all of the provisions contained in these Contest Terms, the Uphold Terms, and any other policies referenced herein. If you do not agree to the terms herein, you must immediately cease participation in the Contest and refrain from submitting any further predictions.
