“Have a coffee on us" Terms and Conditions

These “Terms” set forth the terms and conditions for participation in the Uphold “Have a coffee on us!” giveaway program (the “Program”) administered by Uphold HQ Inc., Uphold Europe Ltd.  (and together with its affiliates, “Uphold”), where a Reward (defined below) is given to Uphold account holders for conducting a transaction using an Uphold debit card account (the “Debit Card”). Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families and persons with whom any of the foregoing are domiciled are not eligible to participate in the Program.

Who can enter

New verified members of Uphold.com who are over the age of 18 at the time of participation and are legal residents of the United Kingdom are eligible to participate in the Program. 

Reward

Each Participant will receive a maximum reward amount of £5 GBP (the “Reward”) for completing all of the steps listed under “Requirements.” Participation in the Program and receipt of the Reward is subject to the terms, conditions and limitations outlined herein. Payment of the Reward will be made within 24 hours from the date all of the listed requirements were completed and shall be paid to each participant’s Debit Card account. 

Any reward payments will be made in British Pounds (GBP), at Uphold’s sole discretion, and shall be deposited to the participant’s Uphold Debit Card account upon completion of the Requirements (outlined below). 

How to enter; Requirements

Participants will be eligible for the Reward upon meeting the following requirements within 7 days of successful Uphold account creation: 

  • complete any and all identification verification and standard Know-Your-Customer (“KYC”) processes and background checks (including the Finproms evaluation questionnaire); 
  • activate a Debit Card; 
  • add the Debit Card to Apple or Google wallet; 
  • add funds to the Debit Card account; and
  • conduct a qualifying transaction.

Upon completion of all of the aforementioned requirements, participants will be eligible to receive the Reward. For purposes of clarity, participants will need to fund their Debit Card accounts and then also conduct a qualifying transaction to receive the full Reward. See Uphold Debit Card Terms and Conditions for more details on qualifying transactions. Further, the Reward is only granted for the first transaction made by the participant. Any initial transaction made under £5 GBP will result in a lesser reward equal to such amount (i.e., if participant conducts an initial transaction of £2 GBP, such participant will receive a reward of only £2 GBP instead of £5 GBP). Multiple transactions cannot be combined to earn the full £5 Reward amount.    

Qualifying transactions made pursuant to this Program shall also be subject to Uphold’s cardholder agreement. Participants must complete all of the requirements outlined above within the Term (defined below) to be eligible to receive the Reward.

Program Term

Participant becomes eligible to participate in the Program immediately upon creating an Uphold account. Once the account is created, the participant has a period of seven (7) days (the “Term”) to complete all of the Requirements and claim the Reward. An initial transaction made after the Term shall not be eligible for the Reward.

General Terms

Uphold is not responsible for any costs associated with claiming the Reward. Use of any of the Uphold services, a requirement for participation in the Program and claiming the Reward, may be, if applicable, subject to all relevant fees associated with the funding, transfer, exchange or removal of funds or value from accounts pursuant to Uphold’s standard charges, available at https://uphold.com/en-gb/get-started/service-fees. The Program and use of the Uphold services are subject at all times to the Uphold Membership Agreement, available at https://uphold.com/en-gb/legal/membership-agreement/general

Violation of the Membership Agreement will constitute a violation of these terms and conditions and result in the immediate disqualification of the participant from the Program. Rewards are not exchangeable or transferable. 

Decisions of Uphold are made in its sole discretion and final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to the Program. Each person is limited to one (1) Uphold account, regardless of the email account or contact information. Any attempt to create multiple memberships or accounts for the same user (either by closing and re-opening accounts or by using different contact information) or other deceptive or fraudulent activity is strictly forbidden and will result in immediate disqualification of the participant from the Program. Uphold reserves the right at any time in its sole discretion and without notice, subject to applicable law, to withdraw the Program, modify the Reward, and/or modify, amend, or supplement these Terms. The above-mentioned changes do not affect any Reward that has been already paid out, if any, unless Uphold can prove that this was a result of client’s fraudulent activity or technical mistake.

Any personally identifiable information collected during an individual’s participation in the Program and registration process with Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Program as described in these terms and conditions and for the operation of the Uphold service and will be subject to Uphold’s Privacy Policy available at https://uphold.com/en-gb/legal/privacy-policy.

Uphold, its subsidiaries and affiliated companies, and each of their respective directors, officers, employees, agents, representatives, advertising, promotion, and fulfillment agencies, and legal advisors are not responsible for and shall not be liable for: (i) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind, whether caused by equipment, programming used in this Program, human processing or otherwise, or any combination thereof; (ii) failed, incomplete, garbled, or delayed computer transmissions; (iii) any condition caused by events beyond the control of Uphold that may cause the Program to be disrupted or corrupted; (iv) any injuries, losses, or damages of any kind arising in connection with or as a result of the rewards, or acceptance, possession, or use of the rewards, or from participation in the Program; or (v) any printing or typographical errors in any materials associated with the Program. Uphold reserves the right, in its sole discretion, to suspend or cancel the Program at any time if a computer virus, bug, tampering, unauthorized intervention, or other technical problem of any sort corrupts the administration, security, or proper play of the Program. Uphold also reserves the right to disqualify, in its sole discretion, any person tampering with the participation process, the operation of Uphold’s website(s) or app(s), or who is otherwise in violation of these terms and conditions. Any attempt to damage Uphold website(s) or app(s) or undermine the legitimate operation of the Program is a violation of criminal and civil laws. Should such an attempt be made, Uphold reserves the right to prosecute violators to the fullest extent allowable by law.

Each participant is solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming or receiving the Reward. By participating in this Bonus Program, each participant acknowledges and agrees that they are solely responsible for determining and fulfilling any tax obligations that may arise from receiving any rewards, incentives, or other benefits. Uphold does not provide tax advice and will not be responsible for any tax liabilities incurred by participants for receiving the Reward. Participants are encouraged to consult with a tax advisor regarding their specific situation.

By participating in the Program, each participant agrees to release and hold Uphold, its subsidiaries and affiliated companies and third party partners and service providers, and each their respective directors, officers, employees, agents, representatives, advertising, promotion, and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with these Programs or resulting from acceptance, possession, or use of any reward, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.

The laws of England and Wales, subject to any local mandatory law, or rights available to consumers, shall govern these Terms and the relationship between us.

Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these terms and conditions shall be given effect as if it had not included the severed item.

Fiat money payments and balances (fiat is another name for traditional currencies, such as GBP, USD and EUR) constitute regulated e-money and payment services. In providing fiat balances, you are being issued with e-money by Optimus and Uphold is acting as its agent. See specific e-money terms. E-money is not a deposit or investment account which means that your e-money will not be protected by the FSCS. Your funds will be held in a designated safeguarding account with a regulated financial institution. E-money will not earn any interest.
