The Uphold Giveaway Program Terms and Conditions (these “Terms”) set forth the terms and conditions for participation in the promotional giveaways (each defined below) offered to participants who meet the conditions outlined below (each, a “Giveaway” or collectively referred to as, the “Giveaway Program”) sponsored by Uphold. Only participants in good standing (each, a “Participant”), as further outlined below, are eligible to participate in the Giveaway Program.

Eligibility

The Giveaway Program is open only to those who are at least 18 years of age at the time of entry. Employees of Uphold, including each of its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Giveaway Program.

How to Enter

To enter each Giveaway, Participant must, during the applicable giveaway period:

• Participants must take a photo of Uphold’s branding (including billboards or digital banners) displayed either in person at the arena or while streaming the game online.
• Post on X (formerly Twitter) or Instagram
• Tag @UpholdInc 

All steps must be completed (in no particular order)  during the applicable giveaway period to qualify for the Giveaway.    

Promotional Period

The Giveaway will run on certain game days in November and December 2025 and additional dates in January 2026 (each, a “Promotional Day”). Each Promotional Day will begin when the giveaway is posted and will last for a twenty-four (24) hour period. To qualify for an entry, all entry steps must be completed in the 24 hour period of the Promotional Day. All Promotional Days are collectively referred to as the “Promotional Period”.

NO PURCHASE NECESSARY

To be eligible, you need to have an X or Instagram account. Entries are granted only for fully completed steps. No entries are granted for engagements that have not completed all steps required. Engaging with multiple posts does not grant multiple entries. Only 1 entry per person per Promotional Day will be granted.

Random Draw

Winning entries will be selected within 72 hours of the end of each Promotional Day in a random draw from among all eligible entries received during the Promotional Day. The winners will then receive a Direct Message (DM) on X or Instagram from the official Uphold account (@UpholdInc) informing them that they have won the Giveaway and will need to complete a form providing required details. Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Prizes

A total of sixty (60) Uphold-branded jerseys across various NHL and NBA teams (the “Prizes”) will be awarded to sixty (60) eligible winning entries that are randomly selected and verified during the Promotional Period. The number of Prizes available on each Promotional Day will be specified at the venue. Prize draws will be held within 72 hours of the end of each Promotional Day. All prizes are non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The estimated value of all Prizes combined is approximately $9,000. The odds of winning are dependent upon the number of eligible entries received.

Winner Notification and Prize Delivery

The selected winners will be notified via direct message on X or Instagram within 72 hours of the draw ending. The selected winners must acknowledge receipt of the notification, confirm acceptance of these Terms and Conditions, and complete the form provided with the requested information. If no response is obtained within 3 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected from the remaining eligible entries. The prize will be delivered to the winners’ address of choice within thirty (30) days of receipt of acknowledgement and completion of additional form from the winner.

General

The winners are responsible for any costs associated with claiming any prize aside from domestic US shipping. The winners are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Giveaway.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Giveaway. Uphold reserves the right at any time to withdraw this Giveaway or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Giveaway, winners consent to the use of Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us here. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winners agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Giveaway, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Giveaway as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Giveaway or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Giveaway, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
