Who Can Enter
The February Uphold $100,000 Sweepstakes (the “Sweepstakes”) is open only to natural persons who:

Are legal residents of the United States, excluding New York and Florida, and any jurisdiction where this Sweepstakes is prohibited by law;

Are 18 years of age or older at the time of entry;

Have successfully completed identity verification (IDV) on the Uphold platform;
-
Have a valid and current W-9 TIN form on file with Uphold;
-
Have entered the Sweepstakes either by opting in to participate through an in-app prompt or email link provided by Uphold, or by submitting a mail-in entry; and
-
Are customers of Uphold in good standing at the time prizes are awarded.
Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Sweepstakes.
How the Sweepstakes Works

Eligible users may receive a marketing communication inviting them to participate and must complete the opt-in process via an in-app prompt or email link provided by Uphold to be eligible to earn entries based on eligible trades. However, opting in through the Uphold app or via email is not required to enter the Sweepstakes, as users may also enter via the Alternative Method of Entry described below.

After opting in, participants receive entries based on Eligible Trades completed during the Sweepstakes Period as follows:

Each Eligible Trade = 1 entry. There is no limit to entries.

An “Eligible Trade” is a completed trade having a gross value of $10 or more (inclusive of fees) where the purchased asset is either a non-stablecoin cryptocurrency or a precious metal and is of a different type than the sold asset (e.g., Fiat → BTC, GDP → Gold or USDC → ETH).

Entries accumulate across multiple Eligible Trades (e.g., three $10+ trades = 3 entries).

Daily Multiplier: Total entries will be multiplied by the number of unique days a participant makes an Eligible Trade during the Sweepstake Period (e.g. eight $10+ trades over the course of four days = 32 entries (8 entries x 4 days)).

10 Day Triple: Participants who make an Eligible Trade during any 10 or more days during the Sweepstakes Period will also triple their final entry count (e.g. ten $10+ trades over the course of ten days = 300 entries (10 entries x 10 days x 3 = 300 entries).

The Sweepstakes Period begins on February 16, 2026 at 00:00 ET and ends on February 28, 2026 at 23:59 ET.

Any Eligible Trades executed during the Sweepstakes Period but before a participant opts into the Sweepstakes will count toward the participant’s total entries.

Purchases of Stablecoins (including but not limited to USDT, USDC, GUSD, DAI, and PYUSD), trades of BAT and fiat (USD, GBP etc.) are excluded from the Sweepstakes. The following are also excluded from the Sweepstakes and do not earn entries: (i) transfers or swaps of the same cryptoasset (e.g. BTC → BTC), (ii) withdrawals to external wallets, banks or cards, (iii) automated trades executed through Trailing Stop or Take Profit and (iv) reward programs (including but not limited to staking, referrals, card cashback, ACH recoupments).

To qualify, a trade must result in the purchase of crypto or metals. For example, trading BTC → USD (landing in Fiat) or ETH → USDT (landing in a Stablecoin) is excluded.

Cancelled, reversed, refunded, chargeback-affected, or otherwise invalidated trades do not generate entries.

Entries have no independent monetary value.
No Purchase Necessary; Alternative Method of Entry (AMOE)
A purchase or trade is not required to enter or win.
To enter without making a trade, eligible participants may submit a legible, handwritten postcard that includes the participant’s:

Full legal name, address and phone number;

Email address associated with their Uphold account; and
-
The phrase: “February Uphold $100,000 Sweepstakes Entry.”

Mail-in entries must be postmarked by February 28, 2026 and received by Uphold by March 4, 2026 at 23:59 ET to be eligible.
Each valid postcard sent by an eligible participant equals one (1) entry.
Participation by AMOE is limited to a single one (1) member of a household. Any participants whose entries reflect a duplicate mailing address will be disqualified.
Entries generated by script, macro or other automated means or practices, or by any means which subvert the entry process will be void. Mail-in entries that are mechanically reproduced, copied, illegible, incomplete, misdirected, postage-due, late or inaccurate are void.
AMOE entries are treated the same as purchase-based entries and have the same chance of winning.
Sweepstakes Prizes

Prizes are credited in USD to each winner’s Uphold account.
Limit one (1) prize per Uphold account.
Total approximate retail value (ARV): $100,000. The ARV of prizes is based on USD value at the time of drafting and may vary.
Odds of winning depend on the total number of eligible entries received, including AMOE entries.
Winner Selection & Notification
Winners will be selected on or about March 6, 2026 in a random drawing from all eligible entries received.
Uphold will use reasonable efforts to promptly notify selected entrants by the email address provided at the time of entry.
Except where prohibited, potential winners may be asked to sign and return, within seven (7) days of being notified, an Affidavit of Eligibility and Liability/Publicity Release and a W-9 tax form to be declared a winner and claim a Prize. Failure to sign and return the foregoing documents within the required time period will result in the Prize being forfeited, and a substitute winner may be selected based upon a random drawing from among all eligible entries received during the Sweepstakes Period.
Uphold is not responsible for delays caused by compliance reviews or circumstances beyond its control.
Cash prizes will be credited in USD to the winner’s Uphold account within 30 days of the Sweepstakes end date (February 28, 2026).
General
The participant receiving a Prize is responsible for any costs associated with claiming that Prize. The participant receiving a Prize is solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming a Prize in this Sweepstakes.
Prizes must be accepted as awarded with no substitutions except at Uphold’s sole discretion. Prizes are non-transferrable. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any Prize.
Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified, or incomplete entries. Participation in the Sweepstakes in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Sweepstakes Terms and Conditions in any respect.
Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to this Sweepstakes. Uphold reserves the right at any time to withdraw this Sweepstakes or to modify, amend, or supplement these rules, in its sole discretion.
You agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.
Any personally identifiable information collected during an individual's participation in the Sweepstakes, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Terms and Conditions, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.
Uphold may cancel, modify, or suspend the Sweepstakes or these Terms at any time where necessary to protect its legitimate business interests or where required by applicable law. Uphold may deny or reverse any Prize granted in error or obtained through abuse, fraud, or manipulation of the Sweepstakes.
Creating multiple Uphold accounts to obtain additional entries is prohibited and will result in disqualification.
Purchasing digital assets involves risk. Nothing in these Terms or the Sweepstakes constitutes investment advice, a recommendation, or a solicitation to buy or sell any asset and participation in the Sweepstakes does not require or encourage any specific trading strategy.
The Sweepstakes ends on February 28, 2026 at 23:59 ET.
Except where prohibited, participants agree that:
(1) Any and all disputes, claims, or causes of action arising out of or connected with the Sweepstakes or any Prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California;
(2) Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees; and
(3) Under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.
Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable, or contrary to applicable law, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.

Uphold reserves the right to disqualify any user engaging in fraudulent behaviour, rapid account cycling, self-funding (including funding from external accounts owned or controlled by the same individual for the sole purpose of qualifying for this Sweepstakes), or other activity intended to generate fraudulent entries or otherwise manipulate the Sweepstakes.
Use of automated systems or bots to generate entries is prohibited and will result in disqualification.
