General Terms and Conditions

Uphold is inviting Eligible Users (defined below) to get 10% back in RLUSD on their first deposit (up to $25) as part of the Uphold First Deposit RLUSD Incentive (the “Promotion”). 

"Eligible Users” are those natural persons who:

  • Are residents of the United States (excluding New York and Florida and any other jurisdictions where the Promotion is prohibited by law);

  • Have successfully completed identity verification (IDV) on the Uphold platform;

  • Are 18 or older at the time of participation;

  • Have not yet made a FIAT deposit into their Uphold account; 

  • Are in receipt of notice of the Promotion offer via Email, Push or In-App message; and

  • Are customers of Uphold in good standing at the time the Reward (defined below) is distributed.

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Promotion.

How the Promotion Works

  1. Eligible Users will be sent an email or shown a pop-up, push notification, or in-app banner inviting them to participate in the Promotion. These promotional invitations will be sent at random to those users who meet all the other criteria for this Promotion. Only those users who receive the promotional invitation will be deemed Eligible Users. 

  2. An Eligible User must make both their first FIAT deposit of $10 minimum into their Uphold account (a “Qualifying Deposit”) and first Qualifying Purchase within seventy-two (72) hours of receiving the promotional message. A ”Qualifying Purchase” is any fiat-to-crypto purchase made on the Uphold platform. Purchases of stablecoins (e.g., USDC, USDT) and crypto-to-crypto trades are not considered Qualifying Purchases and are excluded from the Promotion.

  3. Eligible Users may receive one reminder message regarding the Promotion if they have not transacted within 48 hours of the initial Promotion message.

Reward Description

  1. Eligible Users who successfully make a Qualifying Deposit and Qualifying Purchase will receive a reward (the “Reward”) equal to 10% of the value of their first Qualifying Deposit, up to a maximum of US$25, denominated and delivered in RLUSD. 

  2. The Reward is usable as a trading credit to make additional purchases of cryptoassets or stablecoins on the Uphold platform.

  3. Limit one Reward per Eligible User.

  4. The Reward is non-transferable, may not be substituted or exchanged, and may only be credited in the form and manner determined by Uphold.

  5. No Rewards will accrue or be payable on any subsequent deposits or purchases.

  6. Uphold may refuse to grant a Reward where it reasonably suspects abuse, fraud, gaming, or failure to comply with these Terms and Conditions.

Reward Delivery

Eligible Users who meet the Promotion requirements will automatically receive the Reward in their Uphold account within 30 days following the Qualifying Purchase, typically as part of Uphold’s weekly processing cycles. 

Reward timing may vary depending on operational or financial processing constraints. Uphold is not responsible for delays outside its control. 

The Promotion is available only until the allocated program budget is exhausted. Rewards will be issued in the order in which eligible Qualifying Purchases occur, until the Promotion budget is fully depleted.

General

Eligible Users are responsible for any costs associated with claiming a Reward. The participant receiving a Reward is also solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming a Reward in this Promotion.

Rewards must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any Reward.

Uphold is not responsible for technical or computer errors, or for late, lost, misdirected, misidentified, or incomplete entries. Participation in the Promotion in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Promotional Terms and Conditions in any respect.

Uphold may deny or reverse any Reward granted in error or obtained through abuse, fraud, or manipulation of the Promotion. Uphold reserves the right to disqualify any user engaging in fraudulent behaviour, rapid account cycling, self-funding (including funding from external accounts owned or controlled by the same individual for the sole purpose of qualifying for this Promotion), or other activity intended to artificially qualify for the Reward.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to this Promotion. 

This Promotion will remain available until terminated by Uphold. Uphold reserves the right at any time and without prior notice to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

By participating in the Promotion Eligible Users agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Promotion, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Promotion as described in these Terms and Conditions, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Purchasing digital assets involves risk. Nothing in these Terms and Conditions or the Promotion constitutes investment advice, a recommendation, or a solicitation to buy or sell any asset.

This Promotion is a rebate-style incentive tied to a qualifying transaction and is not a sweepstakes, contest, or game of chance.

Except where prohibited, participants agree that:

(1) Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Promotion shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable, or contrary to applicable law, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item;

(2) Any and all disputes, claims, or causes of action arising out of or connected with the Promotion or any Rewards awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California;

(3) Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees; and

(4) Under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.
