Please read these Sweepstakes terms (the “Sweepstakes Terms and Conditions”) carefully for important information about your rights and obligations in the Uphold $25,000 Flash Sweeps Draw (the “Sweepstakes”). The Sweepstakes is administered by Uphold HQ Inc. (together with its affiliates, “Uphold”). The purpose of the Sweepstakes is to reward Eligible Users (as defined below) who make their Eligible Trades (as defined below) on the Platform (as defined below).
Uphold.com is a platform providing various products and services to global customers, which are subject to different laws and regulations in different jurisdictions. By making the Program available on Uphold.com and/or any other Uphold websites and applications, including but not limited to mobile applications (collectively, the “Platform”), Uphold is not making, and shall not be regarded as having made or intended to make, an invitation or inducement to you to invest in any Uphold products or services.
These Sweepstakes Terms and Conditions (as updated from time to time) govern your access to and participation in the Sweepstakes, and form a legally binding agreement between you (hereinafter referred to as “you” or “your”) and Uphold (hereinafter also referred to as “us,” “our,” or “we”).
By accessing, using, or attempting to use the Sweepstakes in any capacity, and/or by clicking on “I agree” to accept any Uphold products or services provided by Uphold in connection with this Sweepstakes, you acknowledge and agree that: (a) you have read, understood, accepted, and agree to be bound by these Sweepstakes Terms and Conditions, your Uphold User Agreement (the terms of which shall be fully incorporated by reference into these Sweepstakes Terms and Conditions), and our Privacy Policy accessible on the Platform; (b) you are aware of, and shall assume all risks associated with transactions involving cryptoassets; and (c) Uphold shall not be liable for any such risks or adverse outcomes relating to the same.
1. Who Can Enter
The Sweepstakes is open only to natural persons who (each, an “Eligible User”):
- Are legal residents of the United States, excluding New York and Florida, and any other jurisdiction where prohibited by law;
- Are 18 years of age or older at the time of entry;
- Have successfully completed identity verification (IDV) on the Uphold platform;
- Have a valid and current W-9 TIN form on file with Uphold;
- Have received a promotional invitation from Uphold and opted into the Sweepstakes via the Uphold app or email link or by submitting a mail-in entry; and
- Are customers of Uphold in good standing at the time prizes are awarded.
Employees of Uphold, its agencies, and members of their respective immediate families are not eligible to participate in the Sweepstakes.
These promotional invitations will be sent at random to those users who meet all the other criteria for this Sweepstakes. Only those users who receive the promotional invitation will be deemed Eligible Users.
2. How the Sweepstakes Works
This Sweepstakes runs for a single Sweepstakes Period, commencing on July 24, 2026 at 00:00 ET and ending on July 31, 2026 at 23:59 ET (the “Sweepstakes Period”), unless Uphold otherwise extends or shortens the period at its sole discretion and upon an update to these Sweepstakes Terms and Conditions.
Opt-In
For Traders: Eligible Users must complete the opt-in process via the Uphold app or email to be eligible to earn entries via trading. Any Eligible Trades executed during the Sweepstakes Period, up to and including the Trade Volume Cap (as defined below), prior to opting in will be credited to your total Eligible Trades once the opt-in is completed.
For AMOE Participants: Submitting a mail-in entry as described in Section 4 below constitutes your agreement to these Terms and acts as a valid opt-in for the Sweepstakes Period. Eligible Users do not need to opt into the Sweepstakes via the app or email if they are only entering via mail.
There are no bonus entries awarded solely for the act of opting in.
Eligible Trade Entries
Eligible Users earn entries (“Sweepstakes Entries”) based on their total volume of Eligible Trades (“Eligible Trading Volume”), up to and including the Trade Volume Cap (as defined below), during the Sweepstakes Period, calculated as follows:
Total Sweepstakes Entries = Total Eligible Trading Volume in USD ÷ 50, rounded down to the nearest whole dollar and subject to the Trade Volume Cap.
Example: An Eligible User who completes $2,540 in Eligible Trades during the Sweepstakes Period earns 50 Sweepstakes Entries ($2,540 ÷ 50).
There is no Daily Trading Multiplier and no Milestone Bonus under this Sweepstakes. Sweepstakes Entries are based solely on cumulative Eligible Trading Volume; the number of trades or the number of days on which Eligible Trades occur does not affect this Sweepstakes or the number of Sweepstakes Entries granted.
3. Eligible Trades; Trade Volume Cap
An “Eligible Trade” is defined as a single completed trade having a gross value of $50 or more (inclusive of fees) where the purchased asset is either a non-stablecoin cryptocurrency or a precious metal and is of a different asset type from the sold asset (e.g., USD → BTC, GBP → Gold, or USDC → ETH).
The following activities do not qualify as an Eligible Trade and are therefore excluded from the Sweepstakes:
- Purchases of fiat (e.g. USD → GBP, BTC → USD);
- Withdrawals to external wallets, banks, or cards;
- Reward programs (including but not limited to staking, referrals, card cashback, and ACH recoupments);
- Purchases of Stablecoins (e.g., USDT, USDC, DAI) or trades involving BAT;
- Transfers or swaps of the same asset (e.g., BTC → BTC);
- Automated trades executed through Trailing Stop or Take Profit;
- Cancelled, reversed, or chargeback-affected trades.
The maximum Eligible Trade Volume per Eligible User that will count toward their Sweepstakes Entries shall not exceed the trade volume cap (the “Trade Volume Cap”) of ten thousand U.S. dollars (USD $10,000). Accordingly, the maximum number of Sweepstakes Entries an Eligible User can accrue is 200 ($10,000 ÷ 50).
Trading in excess of the Trade Volume Cap is permitted and will not affect an Eligible User’s standing in the Sweepstakes; such excess volume simply will not generate additional Sweepstakes Entries.
4. No Purchase Necessary (AMOE)
To enter the Sweepstakes without making a trade, an Eligible User may submit a legible, handwritten postcard with your: full legal name, address, phone number, Uphold account email, and the phrase: “Uphold $25,000 Flash Sweeps Draw Entry.”

Each properly completed and postmarked postcard received during the Sweepstakes Period will count as five (5) Sweepstakes Entries.
No more than forty (40) postcards may be sent by each Eligible User during the entire Sweepstakes Period, such that the maximum number of Sweepstakes Entries an Eligible User may accrue by postcard mailings in this Sweepstakes is 200 (40 postcards x 5 = 200 Sweepstakes Entries).
No more than five (5) postcards may be sent by each Eligible User per day.
Each postcard must be mailed separately, in its own envelope. Multiple postcards received in a single envelope, or bearing evidence of bulk or simultaneous mailing, will together be counted as a single valid entry (5 Sweepstakes Entries total, not per postcard).
To be counted, mail-in entries must include information sufficient for Uphold to match the entrant to a verified Uphold account in good standing, including full legal name and an Uphold account email. Uphold reserves the right to reject any mail-in entry it cannot verify against an existing Uphold account, or that it determines, in its sole discretion, originates from a resident of an excluded jurisdiction (see Section 1) or was submitted using a false, incomplete, or duplicated identity in an attempt to exceed the postcard limits set forth above.
Deadlines: Mail-in entries must be postmarked no later than the last day of the Sweepstakes Period and received by Uphold no later than 7 days after the end of the Sweepstakes Period to be eligible.
5. Sweepstakes Prizes
For this Sweepstakes Period, 111 winners will be selected via random drawing to win the following prizes:
- One (1) Grand Prize: $5,000
- Ten (10) Prizes: $1,000 each
- One Hundred (100) Prizes: $100 each
Limit one (1) prize per Uphold account, one per household. Total ARV for this Sweepstakes: $25,000.
Prizes will be delivered in XRP. The USD prize amounts stated above will be converted to XRP based on the prevailing market exchange rate on the Platform at the time of crediting. The dollar value of the XRP Reward at the time of receipt may be higher or lower than the stated USD prize amount depending on market conditions at the time of conversion. Uphold is not responsible for any subsequent change in the value of XRP after the Reward has been credited to the winner’s account.
6. Winner Selection & Notification
Winners will be selected via random drawing following the end of the Sweepstakes Period. Uphold will use reasonable efforts to credit prizes in XRP to winners’ Uphold accounts, and notify winners of their prize, within 30 business days of the end of the Sweepstakes Period. Uphold reserves the right, in its sole discretion, to request an Affidavit of Eligibility and Liability/Publicity Release and/or a W-9 form from a winner as a condition of receiving a prize; if requested, failure to provide this documentation within 7 days may result in forfeiture of the prize and selection of a substitute winner based upon a random drawing from among all eligible entries received during the Sweepstakes Period. Where Uphold requests such documentation, the applicable prize will not be credited until Uphold has received and verified it.
7. General Conditions
Uphold reserves the right to disqualify users engaging in “wash trading” (including but not limited to repeated offsetting buy/sell activity between the same or related assets executed with the intent of inflating Eligible Trading volume without corresponding genuine economic exposure), self-funding, use of automated bots, or any other activity intended to artificially inflate Sweepstakes entries. Uphold may calculate Eligible Trading Volume on a net basis (offsetting matched buy/sell activity in the same asset pair within a short time window, as determined by Uphold) where such activity appears designed to generate Sweepstakes Entries without genuine trading intent, and may deny or reverse any prize granted in error or obtained through such manipulation.
Uphold reserves the right to disqualify any user engaging in rapid account cycling, self-funding (including funding from external accounts owned or controlled by the same individual for the sole purpose of qualifying for this Sweepstakes), or other activity intended to generate fraudulent entries or otherwise manipulate the Sweepstakes.
Odds of winning depend on the total number of eligible entries received, including AMOE entries.
Creating multiple Uphold accounts to obtain additional Sweepstakes Entries is prohibited and will result in disqualification.
Uphold reserves the right to modify, suspend, or terminate the Sweepstakes at its sole discretion.
Uphold is not responsible for delays caused by compliance reviews or circumstances beyond its control.
The participant receiving a prize is responsible for any costs associated with claiming that prize, and is solely responsible for the reporting and payment of any and all taxes that may result from claiming a prize in this Sweepstakes.
Prizes must be accepted as awarded with no substitutions except at Uphold’s sole discretion. Prizes are non-transferrable. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any prize.
Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified, or incomplete entries. Participation in the Sweepstakes in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified in the sole discretion of Uphold. This includes any entry that does not comply with these Sweepstakes Terms and Conditions in any respect.
Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to these Sweepstakes.
Any personally identifiable information collected during an individual’s participation in the Sweepstakes, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Sweepstakes as described in these Sweepstakes Terms and Conditions, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.
8. Risks
Purchasing digital assets involves risk. Nothing in these Sweepstakes Terms and Conditions or the Sweepstakes constitutes investment advice, a recommendation, or a solicitation to buy or sell any asset, and participation in the Sweepstakes does not require or encourage any specific trading strategy. Past performance of any cryptocurrency is not indicative of future results. These Sweepstakes do not constitute financial, investment, or legal advice. You should consult a qualified financial advisor before making investment decisions.

9. Disputes
Except where prohibited, participants agree that:
(1) Any and all disputes, claims, or causes of action arising out of or connected with the Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California;
(2) Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees; and
(3) Under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.
(4) Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine.
