1.1 - In certain jurisdictions, the Uphold Platform allows you to hold, transfer and exchange VCOIN, a cryptographic digital asset built on the Ethereum Network and sold by IMVU, Inc. (“IMVU”) that is intended for use in connection with the virtual world platform operated by IMVU (“VCOIN”). Users wishing to transfer VCOIN onto the Uphold Platform from the IMVU virtual world platform must abide by the IMVU Terms of Service, available here, and a breach of such Terms of Service shall be deemed to be a breach of these Terms. IMVU is not affiliated with Uphold. 

1.2 - VCOIN may only be exchanged on the Uphold Platform for the fiat currency of your home country, or if such currency is not supported on the Uphold Platform, U.S. Dollars. Any exchange into fiat currency is subject to any applicable exchange fees or spreads as generally charged to users of the Uphold Platform.

1.3 - All VCOIN purchased on the IMVU virtual world platform must be held for a minimum period of time as set by IMVU prior to it being transferred to the Uphold Platform. IMVU may set maximum daily and monthly amounts that you may transfer to the Uphold Platform and/or convert to fiat currency. IMVU may change these limits in its sole discretion.

1.4 - You acknowledge and agree that VCOIN is not intended by IMVU to be an investment opportunity of any kind and should not be perceived as one, consistent with the factual basis for the no-action relief that IMVU received from the Securities and Exchange Commission Staff with respect to the sale of VCOIN, available at: https://www.sec.gov/corpfin/imvu-111920-2a1. VCOIN is not intended to be treated as a “security” in any jurisdiction.

1.5 - In order to properly process and validate VCOIN transactions between the IMVU virtual world platform and the Uphold Platform, or to link your Uphold account to the IMVU virtual world platform, Uphold may share your Personal Data, including your Uphold account information and transaction history, with IMVU, and IMVU may share certain Personal Data gathered by IMVU with Uphold. All such processing of Personal Data by Uphold is subject to our Privacy & Data Policy as well as IMVU’s Privacy Notice. 

1.6 - By obtaining or using VCOIN, you agree and understand that we are not responsible to any non-verified user that uses VCOIN or for any third-party that supports VCOIN, including IMVU. You also agree and understand that you will not make us, IMVU, or any of our third-party service providers a party to any dispute involving a non-verified user that uses VCOIN or a third-party that supports VCOIN. You further agree and understand that neither we nor IMVU nor any of our third-party service providers are responsible for your use (or misuse) of VCOIN on the Ethereum Network or otherwise, and that you will not make us, IMVU and/or any of our third-party service providers a party to any dispute involving your use (or misuse) of VCOIN on the Ethereum Network or otherwise. In any event, you hereby agree to indemnify us, IMVU and/or any of our third-party service providers for any and all costs, including legal costs, which are reasonably incurred by us, IMVU and/or any of our third-party service providers and related to any such disputes.

1.7 - By obtaining or using VCOIN, you agree and understand that we are not responsible to any non-verified user that uses VCOIN or for any third party that supports VCOIN, including IMVU. You also agree and understand that you will not make us, IMVU, or any of our third-party service providers a party to any dispute involving a non-verified user that uses VCOIN or a third party that supports VCOIN. You further agree and understand that neither we nor IMVU nor any of our third-party service providers are responsible for your use (or misuse) of VCOIN on the Ethereum Network or otherwise, and that you will not make us, IMVU and/or any of our third-party service providers a party to any dispute involving your use (or misuse) of VCOIN on the Ethereum Network or otherwise. These terms, in addition to our General Terms and Conditions and your applicable User Agreement (available here for residents of the US.; here if you are a resident of a country that is a member of the European Economic Area (EEA), the European Union (EU), the United Kingdom, or Switzerland; or here if you reside anywhere else in the world), govern your use of VCOIN on the Uphold Platform. General Terms

This agreement sets forth the terms and conditions for participation in the user referral Promotion (the “Referral Promotion”) administered by Uphold HQ Inc. and Uphold Lithuania UAB (together with its affiliates, “Uphold”). Only Eligible Referrers and Eligible Referrals, as defined below, are eligible to participate in the Referral Promotion.  Employees of Uphold, its subsidiaries and affiliated companies and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate in the Referral Promotion.

Rewards: All Eligible Referrers and Qualified Referral (both defined below) will each receive US$20 worth of bitcoin reward for each Qualified Referral (subject to the terms, conditions, and limitations set forth herein). The maximum payable by Uphold to any individual Eligible Referrer for any Qualified Referral is capped to a total of 20 Qualified Referrals per calendar month. Payment of a reward for a Qualified Referral will be made within forty-five (45) calendar days from the end of the month of the Qualified Referral, paid via the participants’ Uphold wallet. The reward’s value for the fiat currency will be calculated at the moment of the payout, i. e. when the bitcoin is transferred to the client’s Uphold wallet. Please be noted, that the value of the bitcoin is volatile and Uphold will be not responsible for any change in value. This disclosure contains important information about your use of electronic fund transfer (“EFT”) services in relation to your Uphold Account (“Account”).  Whenever you accept or authorize EFTs, you agree to these terms and conditions, in addition to any other applicable limitations in the User Agreement. Electronic Funds Transfer Agreement

We use multi-level systems and procedures to collect and verify information about you in order to help keep ourselves, other users and our partners safe from fraudulent activity and for record-keeping purposes. In addition, to help the government fight the funding of terrorism and money laundering activities, applicable law requires financial institutions to obtain, verify and record information that identifies each person who opens an account.

Your daily or weekly add-funds limits, remove-funds limits, transaction limits and transfer limits are based on the information you provide to us. Users who wish to use the Uphold platform must establish an account with us by, at minimum:

Providing a government-issued ID – such as a passport or driver’s license (a second form of government-issued ID may be required to surpass certain transaction thresholds), and 

Users who wish to add or remove value using an available fiat transfer must, at minimum:

Add and verify a bank account, credit and/or debit card;

Provide additional details, including their residential address and government-issued document and/or social security number; and

We also may require that you provide or verify additional identifying information or to wait some amount of time a transaction before permitting you to use the Uphold platform at all or at any given level. 

A corporation, partnership, trust or other legal entity may need to provide other information, such as its principal place of business, local office, employer identification number, certified articles of incorporation, government-issued business license, a partnership agreement or a trust agreement.

If you don't provide the information requested or your identity can't be verified, we may not be able to open an account or carry out transactions for you. If we have already opened an account for you, we may have to close it.

You can contact us through support to request increased limits. We may require you to submit to enhanced due diligence at your cost and, of course, we cannot guarantee that we can increase your limits.

The following categories of businesses, business practices, and sale items are barred from using our services (“Prohibited Businesses”). Please note that Uphold HQ retains the right to reject any business applicant based on evolving risk tolerances and the requests of our banking partners.

By opening an Uphold HQ Account or Uphold Securities Brokerage Account (your “Account”), you confirm that you will not use the Uphold Platform to transact in connection with the following businesses, activities, practices, or items:

Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks, and escrow services

Counterfeit products or any product or service that infringes upon the copyright, trademark, trade secrets of any third party, or stolen goods

Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs ( includes legal high or cannabinoids)

Gambling, except where permitted by and with our prior written permission

Casinos, lotteries and gambling (online or in-person)

Initial Coin Offering vehicles, except where permitted by and with our prior written permission

Prostitution (including internet adult content subscription services), adult entertainment, dating escort services

Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

Extortion, blackmail, or efforts to induce unearned payments

Weapons and ammunition, including military manufacturers, dealers and intermediaries

Any business that violates any law, statute, ordinance or regulation

Acting in concert with others or through multiple accounts that you control in order to circumvent per account trading limits

Decentralized Autonomous Organizations (DAOs)

Explosives and polytechnic products, glues, essential oils and chemicals

Direct marketing (mail order or telephone orders, catalog sales, outbound telemarketing, inbound teleservices, audiotext & videotext, outbound telemarketing, travel, including discount travel clubs, or insurance)

Funding any of the items included on this Prohibited Businesses list

You may not use your Account or the Uphold Platform to engage in the following categories of activity (“Prohibited Use”). You confirm that you will not use your Account to do any of the following:

Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, or regulations governing financial services, controlled substances, or consumer protections)

Partake in a transaction which involves the proceeds of any unlawful activity

Partake in any transaction involving online gambling except where permitted and with our prior written permission

Defraud or attempt to defraud us or our users

Infringe our or any third party's intellectual property

Provide false, inaccurate or misleading information

Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information

Interfere with another individual's or entity's access to or use of any part of the Uphold Platform

Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights of others

Publish, distribute or disseminate any unlawful material or information

Transmit or upload any viruses, Trojan horses, worms, or any other malicious programs

Access the Uphold Platform through programmatic means

Act as a payment intermediary or aggregator or otherwise resell the Uphold Platform, unless authorized by us in writing

Transfer any rights granted to you by us to another party

Use another user’s password for any purpose

Compromise Accounts, computer systems or networks connected to the Uphold Platform through any means

Use any Account other than the single Account created with your real identity

Uphold is, as required by regulation, applying for registration and for certain exemptive relief under securities laws of certain jurisdictions of Canada, and those applications are ongoing. These Uphold Institutional Portal Terms (“Portal Terms”) govern your access to and use of the Uphold Institutional Portal website and/or app (the “Portal”), to access the cryptoasset trading platform offered by the Uphold Group (the “Platform”). The Portal and the Platform are offered by entities that form part of the Uphold Group, depending on the jurisdiction of residence of the end user, including Uphold HQ Inc. (for customers residing in the United States), Uphold Europe, Ltd. (for customers residing in the UK), Uphold Lithuania UAB (for customers residing in the EEA), Uphold Operating Canada, Ltd. (for customers residing in Canada), and Uphold Worldwide Ltd. (for customers residing anywhere else the Portal is made available).
