Please read these Terms and Conditions carefully for important information about your rights and obligations in connection with the Promotion. Uphold is inviting Eligible Users (defined below) to get up to $25 back in their next Qualifying Deposit, as part of the Uphold Deposit Match Incentive (the “Promotion”).

By participating in the Promotion you acknowledge that you have read, understood, and agree to comply and adhere to the following Terms and Conditions. Any changes or amendments to these Terms and Conditions will be effective as of the “Last Revised” date referred to at the top of this page. In this regard, you agree to regularly refer to these Terms and Conditions and any other announcements that Uphold HQ Inc. (“Uphold”) may make from time to time, through such communication channels as Uphold may deem fit. Uphold shall bear no responsibility whatsoever for any losses or damages of any kind that may result from the suspension, modification or early termination of this Promotion.

Eligibility

“Eligible Users” are those natural persons who:

  • Are residents of the United States (excluding New York and Florida and any other jurisdictions where the Promotion is prohibited by law);
  • Have successfully completed identity verification (IDV) on the Uphold platform;
  • Are 18 or older at the time of participation;
  • Are in receipt of an email, push notification, or in-app message inviting them to participate in the Promotion (the “Promotional Invitation”). These Promotional Invitations will be sent to selected users who meet the defined criteria for this Promotion, as determined by Uphold. Only those users who receive the Promotional Invitation will be deemed Eligible Users; and
  • Are customers of Uphold in good standing at the time the RLUSD Match is distributed.

Employees of Uphold and its affiliates, its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Promotion.

How the Promotion Works

If an Eligible User successfully makes a FIAT deposit of US$10 or more into their Uphold account within seventy-two (72) hours of receiving the Promotional Invitation (a “Qualifying Deposit”), they will be reimbursed up to US$25 of the amount of that Qualifying Deposit, denominated and delivered in RLUSD (the “RLUSD Match”).

Eligible Users may receive one reminder message regarding the Promotion if they have not transacted within 48 hours of the initial Promotion Invitation.

Limitations and Qualifications of RLUSD Match

  • Each RLUSD Match will be calculated at the prevailing market price of RLUSD, as at the time of calculation.
  • The Qualifying Deposit must be successfully completed and must not be reversed, cancelled, charged back, or subject to fraud review at the time the RLUSD Match is paid.
  • Uphold is not responsible for any change in the value of RLUSD between the time the Qualifying Deposit was made and the time the RLUSD is delivered to a winner's wallet; the dollar value of RLUSD at the time of receipt may be higher or lower than the USD value at the time of your Qualifying Deposit, depending on market conditions.
  • Limit one RLUSD Match per Eligible User.
  • The RLUSD Match is non-transferable, may not be substituted or exchanged, and may only be credited in the form and manner determined by Uphold.
  • No RLUSD Match will accrue or be payable on any subsequent deposits or purchases.
  • Uphold may refuse to grant a RLUSD Match where it reasonably suspects abuse, fraud, gaming, or failure to comply with these Terms and Conditions.
  • For the avoidance of doubt, a Qualifying Deposit in excess of US$25 will receive a RLUSD Match equal to US$25.

RLUSD Match Delivery

Eligible Users who meet the Promotion requirements will automatically receive the RLUSD Match in their Uphold account within 30 days of making the Qualifying Deposit, typically as part of Uphold’s weekly processing cycles.

Timing may vary depending on operational or financial processing constraints. Uphold is not responsible for delays outside its control. Eligible Users may also receive a confirmation email once the RLUSD Match has been paid.

Limited Time Offer

This Promotion is made available as a limited time offer and Uphold reserves the right at any time to modify, amend, suspend or terminate the Program or to modify, amend, supplement these Rewards Terms, in its sole discretion. For California residents, Uphold will provide at least fourteen (14) days' prior notice in a record before any change that has a material impact on your participation in digital asset trading takes effect. For the avoidance of doubt, this Promotion does not guarantee access to similar promotions in the future.

Each RLUSD Match will be issued in the order in which eligible Qualifying Deposits occur, until the Promotion budget is fully depleted or the Promotion is terminated.

General

Eligible Users are responsible for any costs associated with claiming any benefit hereunder. Eligible Users are also solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming a RLUSD Match in this Promotion.

Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any RLUSD Match.

Uphold is not responsible for technical or computer errors, or for late, lost, misdirected, misidentified, or incomplete participation records or communications. Participation in the Promotion in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any participation that does not comply with these Promotional Terms and Conditions in any respect.

Uphold may deny or reverse any RLUSD Match granted in error or obtained through abuse, fraud, or manipulation of the Promotion. Uphold reserves the right to disqualify any user engaging in fraudulent behaviour, rapid account cycling, self-funding (including funding from external accounts owned or controlled by the same individual for the sole purpose of qualifying for this Promotion), or other activity intended to artificially qualify for the RLUSD Match.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to this Promotion.

This Promotion will remain available until terminated by Uphold. Uphold reserves the right at any time and without prior notice to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

By participating in the Promotion Eligible Users agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Promotion, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Promotion as described in these Terms and Conditions, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Purchasing digital assets involves risk. Nothing in these Terms and Conditions or the Promotion constitutes investment advice, a recommendation, or a solicitation to buy or sell any asset.

This Promotion is a rebate-style incentive tied to a qualifying transaction and is not a sweepstakes, contest, or game of chance.

THIS PROMOTION IS PROVIDED ON AN “AS IS” BASIS. EXCEPT FOR GROSS NEGLIGENCE OR WILFUL MISCONDUCT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPHOLD AND ITS AFFILIATES HAVE NO LIABILITY OR RESPONSIBILITY FOR AND EXPRESSLY DISCLAIMS ANY LOSS, LIABILITY OR DAMAGE THAT YOU MAY INCUR DIRECTLY OR INDIRECTLY IN CONNECTION WITH YOUR PARTICIPATION IN THE PROMOTION, INCLUDING WITHOUT LIMITATION LOSS, LIABILITY OR DAMAGE ARISING DIRECTLY OR INDIRECTLY FROM INTERRUPTIONS, ERRORS OR DEFECTS, THIRD PARTY DISRUPTIONS OF OR UNAUTHORIZED ACCESS TO THE PLATFORM AND ANY SUSPENSION OR DISCONTINUANCE OF ANY BENEFIT, INCLUDING, FOR EXAMPLE, THROUGH COMPUTER EQUIPMENT FAILURE, LOSS OF INTERNET ACCESS, VIRUSES OR OTHER EVENTS THAT MAY IMPAIR ACCESS. NEITHER UPHOLD NOR ANY OF ITS AFFILIATES SHALL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS OR DAMAGE ARISING FROM YOUR PARTICIPATION IN THE PROMOTION OR THE REWARDS PROVIDED THEREBY.

Except where prohibited, participants agree that:

  1. Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Promotion shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable, or contrary to applicable law, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item;
  2. Any and all disputes, claims, or causes of action arising out of or connected with the Promotion or any RLUSD Match awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California;
  3. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees; and
  4. Under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.
