EURC Promotion Terms and Conditions

Who Can Enter

The Uphold EURC Promotion (“EURC”)  Giveaway (the “Promotion”) is open to all natural persons who:

• Register their participation on the Uphold platform;
• Are residents of the United States (excluding New York and Florida);
• Are 18 or older on October 8th 2025, at 00:01 AM Eastern Daylight Time (EDT);
• Are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures;
• Are a customer of Uphold in good standing at the time the Promotion Reward is distributed.

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Promotion.

Promotional Period

The Promotional Period starts on October 8th, 2025, at 00:01 EDT, concluding on October 8th, 2025, at 23:59 EDT (the “Promotion Period”). To qualify for the reward, you must successfully complete a Qualifying Transaction on the Uphold platform by 23:59 EDT on the final day of the Promotional Period. Any pending transactions will not be considered for entry.

The Promotion

The Promotion will distribute $10 of value in the form of EURC (the “Reward”) to 3500 Eligible customers. To qualify for the promotion you must be one of the first 3500 customers to successfully transact $50 or more in EURC (“Qualifying Transaction”), and satisfy the requirements provided above. Eligible Transactions include fiat-to-EURC purchases, EURC-to-crypto trades and vice-versa, as well as EURC-to-fiat sales. Furthermore, fiat and EURC deposits and withdrawals are also eligible. All other transaction types are excluded from eligibility.

The Reward

The Reward is non-transferable and non-assignable. No substitutions of the Reward are permitted. All Rewards will be awarded to the eligible users’ accounts in EURC. Only one Reward will be awarded per user.

Winner Notification and Prize Delivery

The Reward will be delivered to the winner’s account on the Uphold platform in the form of EURC within 30 days after the Promotional Period ends.

General

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result from claiming a prize in this Promotion.

Rewards must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any Reward.

Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified, or incomplete entries. Entries in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Promotional Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to this Promotion. Uphold reserves the right at any time to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

You agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Promotion, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Promotion as described in these Terms and Conditions, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at https://uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that:
(1) Any and all disputes, claims, or causes of action arising out of or connected with the Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California;
(2) Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees; and
(3) Under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.

Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Promotion shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable, or contrary to applicable law, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
