Uphold LMWR - Promotion Terms and Conditions

Who Can Enter

The December Uphold LMWR Giveaway (the “Promotion”) is open to all natural persons who:

• Register their participation on the Uphold platform.
• are residents of the United States (excluding New York and Florida); 
• are 18 or older on December 19, 2024 at 00:01 AM Eastern Daylight Time (EDT); and, 
• are active users of the Uphold platform and have successfully verified their identity (IDV) and completed certain Uphold “know your customer” procedures; 
• Purchase a minimum of fifty US dollars (US$50) during the Promotional Period
• are a customer of Uphold in good standing at the time the Promotion Reward is distributed.

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Promotion.

Promotional Period

The Promotional Period starts on December 19 2024, at 00:01 EDT, concluding on December 19, 2024 at 23:59 EDT (the “Promotion Period”). To qualify for an entry your transaction must be successfully executed on the Uphold platform by 23:59 EDT on the final day of the Promotional Period. Any pending transactions will not be considered for entry.

The Promotion

The first two hundred (200) eligible Uphold users to complete a qualifying LWMR transaction, purchase a minimum of fifty US dollars ($50) during the Promotional Period as your first qualifying transactions you perform on the Uphold platform during the Promotional Period shall receive twenty-five US dollars ($25) of value in the form of LMWR. Qualifying transactions include any cryptoasset, stablecoin or fiat to LMWR transactions on the Uphold platform. The following are not considered qualifying transactions: (i) deposits of a fiat currency into the same fiat currency; (ii) withdrawals; (iii) transactions from a Tier 1 or Tier 2 asset (fiat currency) to a Tier 6 asset (stablecoins); (iv) transactions between Tier 6 assets (stablecoins); or (v) transactions sending any assets from one Uphold user to another. Entries are granted in whole amounts only. Prizes are limited to one per customer. 

The Prize

The first two hundred (200) qualifying transactions will be eligible to receive twenty-five US dollars ($25), each $25 referred to as the Prize, in LMWR (based on the mid-market rate as published on uphold.com/transparency as of December 19, 2024).  The Prize is non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded, with a limit of one prize per eligible user.

Winner Notification and Prize Delivery

The selected entrants will be notified within 24 hours of the ending of the Promotional Period via email to the primary email address associated with their Uphold account. The prize will be delivered to the winner’s account on the Uphold platform into their LWMR sub-account within thirty (30) days after the Promotional Period ends.

General

The winner is responsible for any costs associated with claiming any prize. The winner is solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Promotion.

Prizes must be accepted as awarded with no substitutions. Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Uphold is not responsible for technical or computer errors, or for late, lost, illegible, damaged, postage due, misdirected, misidentified or incomplete survey. Entries in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Promotional Terms and Conditions in any respect.

Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Promotion. Uphold reserves the right at any time to withdraw this Promotion or to modify, amend, or supplement these rules, in its sole discretion.

You agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Promotion, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Promotion as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy available at uphold.com/legal/privacy-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Uphold in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
