Official Terms & Conditions

Please read these Reward Terms and Conditions (these “Terms”) carefully for important information about your rights and obligations in the Uphold Survey Reward (the “Reward”). The Reward is administered by Uphold HQ Inc. (together with its affiliates, “Uphold”, “us,” “our,” or “we”).  The purpose of the Reward is to reward Eligible Users who complete a Survey (as defined below) on Uphold’s Platform (the “Platform”) during the Reward Period. This Reward is exclusively available to those current users of the Uphold Platform who receive a Reward Invitation (as defined below) from Uphold.

These Terms (as updated from time to time) govern your access to and participation in the Reward, and form a legally binding agreement between you (hereinafter referred to as “you” or “your”) and Uphold.

By participating in the Reward, you acknowledge and agree that: (a) you have read, understood, accepted, and agree to be bound by these Terms, your Uphold User Agreement (the terms of which shall be fully incorporated by reference into these Terms), and our Privacy Policy accessible on the Platform; (b) you are aware of, and shall assume all risks associated with transactions involving cryptoassets; and (c) Uphold shall not be liable for any such risks or adverse outcomes relating to the same.

Uphold reserves the right to cancel, suspend, or extend the Reward at any time, with or without prior notice, at its sole and absolute discretion. Any changes or amendments to these Terms will be effective as of the “Last Revised” date referred to at the top of this page. In this regard, you agree to regularly refer to these Terms and any other announcements that Uphold may make from time to time, through such communication channels as Uphold may deem fit. Uphold shall bear no responsibility whatsoever for any losses or damages of any kind that may result from the suspension, modification or early termination of this Reward.

Unless expressly defined in these Terms, or where the context otherwise requires, all words and expressions used in these Terms shall have the same meaning as defined in your User Agreement. In the event of any conflict between these Terms and the User Agreement, the provisions in these Terms shall prevail.

Eligibility

The  Reward is open only to natural persons (each, an "Eligible User”) who:

• Are legal residents of the United States, excluding any jurisdiction where this Reward is prohibited by law;
• Are 18 years of age or older at the time of participation;
• Have successfully completed identity verification (IDV) on the Platform;
• Have received a direct, designated Rewardal invitation from Uphold via email, push notification, or in-app message (a “Rewardal Invitation”);
• Maintain an Uphold account in good standing at the time rewards are distributed.

Only the specific Uphold account holder linked to the Rewardal Invitation is eligible to participate in this Reward and be considered an Eligible User. Forwarded or transferred Reward Invitations will not be honored.

Users whose Uphold account reflects a negative balance and/or pending compliance review at the time of Reward distribution will be ineligible for a Reward.

Reward Period

The active start and end dates of the Reward (the “Reward Period”) are explicitly as specified within your Reward Invitation. The Survey must be fully completed by you within the specific timeframe detailed in your Reward Invitation in order to qualify for a Reward (August 30, 2026). Surveys with a completion timestamp after the closing timestamp of the Reward Period will not qualify.

Survey Completion Definition

To qualify for the Reward, an Eligible User must complete the Survey before the  Reward Period ends (August 30th, 2026).

For the purpose of this Reward, completing the survey (the “Survey”)  means submitting an answer to the last question (“What currency would you like to receive your reward in?”) in the Reward Invitation, such that afterwards the Eligible User lands on an end screen thanking them for their participation and confirming their response has been recorded. Partial Survey completion will not qualify for the Reward..

Limit one Reward per eligible Uphold account. Rewards are non-transferable, cannot be combined with other offers, and cannot be exchanged or redeemed for cash.

Disqualifying Conduct

Uphold reserves the right to disqualify any Eligible User and/or withhold, reverse, or claw back any Reward if it determines, in its sole discretion, that Eligible User has:

• Provided false, inaccurate, or misleading information during registration, KYC, or any other step in the participation process;
• Used automated means, bots, scripts, or other non-human methods to complete the Survey;
• Created multiple Uphold accounts to circumvent the one-per-person limitation;
• Violated any provision of these Terms or the User Agreement;
• Has otherwise engaged in fraudulent, abused or bad-faith activity.

Geographic Restrictions

This Reward is available only to Eligible Users who reside in a U.S. State where Uphold is duly licensed and legally authorized to operate and where this Reward is permitted by applicable law. 

This Reward is NOT available to residents of the following states and territories:

• New York
• U.S. Virgin Islands (USVI)
• American Samoa (AS)

Residents of any jurisdiction outside the United States are not eligible for this Reward. Eligible Users are responsible for ensuring that their participation in this Reward complies with all applicable local laws and regulations.

Reward Distribution Mechanics

Eligible Users will receive the specific bonus amount explicitly stated in the Rewardal Invitation they receive, payable in either BTC, XRP or USDC, at the Eligible User’s option (the “Reward”) and valued at the prevailing market exchange rate on the Platform at the precise time of the Reward’s distribution.

Uphold is not responsible for any change in the value of the chosen crypto (BTC, XRP, or USDC)  between the time the Survey is completed and the time the Reward is delivered to your wallet. The dollar value of the Reward at the time of receipt may be higher or lower than the crypto amount specified in your Rewardal Invitation depending on market conditions at the time of issuance.

Uphold will endeavor to credit any Rewards directly to the Eligible User’s Uphold BTC, XRP, or USDC wallet within fourteen (14) days of completing the Survey. Rewards cannot be redirected to a third-party account or wallet.

Tax Obligations

The Reward may constitute taxable income under applicable federal and/or state tax laws.  Eligible Users are solely responsible for any local, state, or federal tax reporting or payments resulting from the receipt of a Reward.

Investment Risk Disclosure

Cryptocurrency investments involve significant risk. The value of cryptoassets available on the Platform may increase or decrease, and participants may lose some or all of the value of any assets held, including the Reward. PAST PERFORMANCE OF ANY CRYPTOCURRENCY OR COMMODITY ASSET IS NOT INDICATIVE OF FUTURE RESULTS. Nothing in these Terms or the Reward Invitations constitutes financial, investment, tax, or legal advice. Digital asset trading involves inherent market risk. You should consult a qualified financial advisor before making any investment decisions.

Disclaimers

THE REWARD IS PROVIDED ON AN “AS IS” BASIS. EXCEPT FOR GROSS NEGLIGENCE OR WILFUL MISCONDUCT, TO THE MAXIMUM EXTENT PERMITTED BY LAW,  UPHOLD HAS NO LIABILITY OR RESPONSIBILITY FOR AND EXPRESSLY DISCLAIMS ANY LOSS, LIABILITY OR DAMAGE THAT MEMBERS MAY INCUR DIRECTLY OR INDIRECTLY IN CONNECTION WITH THEIR PARTICIPATION IN THE REWARD, INCLUDING WITHOUT LIMITATION LOSS, LIABILITY OR DAMAGE ARISING DIRECTLY OR INDIRECTLY FROM INTERRUPTIONS, ERRORS OR DEFECTS, THIRD PARTY DISRUPTIONS OF OR UNAUTHORIZED ACCESS TO THE UPHOLD PLATFORM AND ANY SUSPENSION OR DISCONTINUANCE OF THE UPHOLD PLATFORM, INCLUDING, FOR EXAMPLE, THROUGH COMPUTER EQUIPMENT FAILURE, LOSS OF INTERNET ACCESS, VIRUSES OR OTHER EVENTS THAT MAY IMPAIR ACCESS. NEITHER UPHOLD NOR ANY OF ITS AFFILIATES SHALL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS OR DAMAGE ARISING FROM YOUR PARTICIPATION IN THE REWARD  OR THE REWARDS PROVIDED THEREBY.

WE ARE NOT RESPONSIBLE FOR: (A) ANY LOSS OR MISDIRECTION OF, OR DELAY IN RECEIVING, ANY CORRESPONDENCE, CANCELLATION OR CHANGE REQUEST; (B) ANY ACTS OR OMISSIONS OF THIRD PARTIES; OR (C) ANY ERRORS PUBLISHED IN RELATION TO THE REWARD, INCLUDING, WITHOUT LIMITATION, ANY PRICING OR TYPOGRAPHICAL ERRORS, ERRORS OF DESCRIPTION, AND ERRORS IN THE CREDITING OR DEBITING OF REWARDS. WE RESERVE THE RIGHT TO CORRECT, WITHOUT NOTICE, ANY ERRORS.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.

FOR THE AVOIDANCE OF DOUBT, THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE IN ADDITION TO, AND NOT IN PLACE OF, THOSE SET FORTH IN YOUR USER AGREEMENT.

General Provisions

Modification and Termination. Uphold reserves the right to modify, suspend, or terminate this Reward at any time and for any reason, including but not limited to technical errors, fraud, or regulatory requirements, with or without notice, except that in certain applicable U.S. states, any change to the Reward, the Survey requirements, or any other term that has a material impact on the digital financial asset business activity conducted with you under this Reward will not take effect until prior notice of the required time period is given. In the event of early termination, Uphold will honor Rewards already earned by Eligible Users who completed a Survey prior to the termination date.

Disputes. Any disputes arising under or relating to this Reward shall be resolved in accordance with your User Agreement, including any applicable arbitration provisions.

Governing Law. This Reward and these Terms are governed by the laws of the State of NY, without regard to its conflict of law provisions.

Entire Agreement. These Terms and your Rewardal Invitation, together with your User Agreement and Privacy Policy, constitute the entire agreement between Uphold and you respect to this Reward and supersede all prior communications, representations, or agreements relating to the subject matter hereof.

Severability. If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions will remain in full force and effect.

Language. In the event of any conflict between a translated version of these Terms and the English version, the English version shall control.
