THIS GIVEAWAY IS ONLY AVAILABLE IN THE UNITED STATES, in all jurisdictions where Uphold is available, excluding New York, Florida, the U.S. Virgin Islands, and excluding any other jurisdictions where sweepstakes are prohibited.

The Uphold Giveaway Program Terms and Conditions (these "Terms") set forth the terms and conditions for participation in the promotional giveaway described below (the "Giveaway"), sponsored by Uphold HQ Inc. ("Uphold"). Only users in good standing, as further outlined below, are eligible to participate.

By participating in the Giveaway, each Participant agrees to abide by and be bound by these Terms, and understands that the decisions of Uphold are final in all respects.

Nothing in these Terms or the Giveaway constitutes investment advice, a recommendation, or a solicitation to buy or sell any asset and participation in the Giveaway does not require or encourage any specific trading strategy.

Eligibility

The Giveaway is open only to legal residents of the United States (subject to the State exclusions above) and are at least 18 years of age at the time of entry (each, an "Eligible User").

Employees of Uphold, including its subsidiaries and affiliated companies, and their respective directors, officers, employees, agents, representatives, advertising or promotional agencies, members of their immediate families, and persons with whom any of the foregoing are domiciled are not eligible to participate.

How to Enter

To enter the Giveaway, Participants must complete all of the following steps during the applicable Promotional Day:

1. Like the Giveaway post on X; and
2. Leave a comment on the Giveaway post on X.

 

All steps must be completed during the applicable Promotional Day to qualify for entry. An Eligible User who timely completes all Giveaway steps is referred to in these Terms as a "Participant".

Only one (1) entry per person per Promotional Day is permitted.

See "Winner Notification and Prize Delivery" below for the steps a winning Participant must take and the Required Information a winning Participant must provide to Uphold once the Participant is selected to win a Prize in order to be eligible for such Prize.

Promotional Period

The Giveaway will run on select dates in April and May 2026 (each, a "Promotional Day"). Each Promotional Day begins when the Giveaway is posted by Uphold on X and remains open for twenty-four (24) hours thereafter.

All Promotional Days collectively constitute the "Promotional Period." For the avoidance of doubt, the Promotional Period will not extend beyond May 31, 2026.

No purchase is required to enter or win. Participants must have an active X account. Entries are granted only for fully completed steps. Engagements that do not complete all required steps - including the steps required after a Participant is selected for a Prize - will not qualify for Prizes.

Random Draw

Winners will be selected within seventy-two (72) hours following the end of each Promotional Day via a random draw from among all eligible entries received.

Selected winners will be notified by direct message (DM) from the official Uphold account (@UpholdInc) and will be required to complete a form providing the requested information. Uphold reserves the right to require proof of age and U.S. residency prior to awarding any prize.

Prizes

A total of fifty (50) Uphold-branded hats (the "Prizes") will be awarded during the Promotional Period.

Each winning Participant will receive one (1) hat.

Prizes are non-transferable, non-assignable, and no substitutions or cash equivalents are permitted.

The approximate retail value of each Prize is $30, for a total approximate value of $1,500.

Odds of winning depend on the number of eligible entries received.

Winner Notification and Prize Delivery

Winners will be selected within seventy-two (72) hours following the end of each Promotional Day via a random draw from among all eligible entries received.

Uphold will use reasonable efforts to promptly notify selected Participants by direct message on X (formerly Twitter) direct message. Selected Participants must then respond to the notification by providing their valid mailing address (collectively, the "Required Information") no later than seventy-two (72) hours after such notice is delivered on X by Uphold. Failure to timely provide the Required Information and/or providing false or incomplete Required Information will result in such selected Participant automatically relinquishing Participant's rights to any Prize.

Uphold is not responsible for delays caused by compliance reviews or circumstances beyond its control.

Prizes will be shipped within thirty (30) days of receipt of verification and completed documentation from a winning Participant. Domestic U.S. shipping costs will be paid by Uphold. International shipping is not offered as part of this Giveaway.

General Conditions

Winners are responsible for any taxes associated with receipt of a prize. Uphold is not responsible for lost, late, incomplete, or misdirected entries.

Prizes must be accepted as awarded. Prizes have no cash equivalent.

Eastern Standard Times will be used when calculating any time periods referred to in these Terms.

Uphold is not responsible for any fluctuations in asset value following Prize delivery.

Uphold shall not be responsible for any injuries, losses, or damages of any kind resulting from participation or acceptance, possession, or use of any prize.

Uphold reserves the right to modify, suspend, or cancel the Giveaway at any time in its sole discretion.

Uphold also reserves the right to withhold, reverse, or reclaim a prize where it reasonably suspects abuse, fraud, gaming or failure to comply with these Terms.

Publicity & Privacy

By participating, winners consent to Uphold's use of their first name, last initial, and hometown for lawful promotional purposes without additional compensation, except where prohibited by law.

Legal & Dispute Resolution

Except where prohibited, Participants agree that all disputes arising from the Giveaway shall be resolved individually through binding arbitration in Marin County, California, under the laws of the State of California. Participants waive rights to class actions, punitive damages, and claims beyond actual out-of-pocket expenses.

If any provision is deemed unenforceable, the remainder shall remain in full force and effect.
