Acceptance and Modification of Program Terms
Please read these Program terms (the “Program Terms”) carefully for important information about your rights and obligations in the New User First Trade Program ("Program"). The Program is administered by Uphold HQ Inc. (together with its affiliates, “Uphold”). The purpose of the Program is to reward Eligible Participants (defined below) who make their first Qualifying Trade on the Platform (defined below). This Program is exclusively available to new customers of Uphold and is not available to any individual who has previously held or currently holds an Uphold account in any capacity.
Uphold.com is a platform providing various products and services to global customers, which are subject to different laws and regulations in different jurisdictions. By making the Program available on Uphold.com and/or any other Uphold websites and applications, including but not limited to mobile applications (collectively, the “Platform”), Uphold is not making, and shall not be regarded as having made or intended to make, an invitation or inducement to you to invest in any Uphold products or services.
These Program Terms (as updated from time to time) govern your access to and participation in the Program, and form a legally binding agreement between you (hereinafter referred to as “you” or “your”) and Uphold (hereinafter also referred to as “us,” “our,” or “we”).
By accessing, using, or attempting to use the Program in any capacity, and/or by clicking on “I agree” to accept any Uphold Services provided by Uphold in connection with this Program, you acknowledge and agree that: (a) you have read, understood, accepted, and agree to be bound by these Program Terms, your Uphold User Agreement (the terms of which shall be fully incorporated by reference into these Program Terms), and our Privacy Policy accessible on the Platform; (b) you are aware of, and shall assume all risks associated with transactions involving cryptoassets; and (c) Uphold shall not be liable for any such risks or adverse outcomes relating to the same.
Uphold reserves the right to cancel, suspend, or extend the Program at any time, with or without prior notice, at its sole and absolute discretion. Any changes or amendments to these Program Terms will be effective as of the “Last Revised” date referred to at the top of this page. In this regard, you agree to regularly refer to these Program Terms and any other announcements that Uphold may make from time to time, through such communication channels as Uphold may deem fit. Uphold shall bear no responsibility whatsoever for any losses or damages of any kind that may result from the suspension, modification or early termination of this Program.
Unless expressly defined in these Program Terms, or where the context otherwise requires, all words and expressions used in these Program Terms shall have the same meaning as defined in your User Agreement. For clarity, “Uphold Services” as defined in the User Agreement shall include your participation in this Program. In the event of any conflict between these Program Terms and the User Agreement, the provisions in these Program Terms shall prevail.
Eligibility
To be eligible for the Program, a participant (each, an “Eligible Participant”) must:

Be a new Uphold user — individuals who have previously registered for an Uphold account in any capacity are not eligible;

Be a natural person and legal resident of the United States, residing in a state in which Uphold is duly licensed and legally authorized to operate and offer this Program (excluding Louisiana, NY, US Virgin Islands and American Samoa, and any other jurisdiction where this Program is prohibited by applicable law). It is your responsibility to ensure that your participation in this Program complies with the laws of your jurisdiction;

Be at least 18 years of age as of April 1, 2026 at 12:00 AM ET;

Register through the campaign landing page during April 16, 2026 at 12:00 PM ET to April 30, 2026 at 11:59 PM ET;
-
Successfully complete Uphold's identity verification (KYC) process in accordance with applicable regulatory requirements;
-
Complete a Qualifying Trade (defined below) of $10 or more (Ex: An entry on April 29th will have 30 days to make a $10+ trade to qualify for the offer assuming the budget is not exhausted);

Remain a customer of Uphold in good standing, in compliance with their User Agreement, at the time the Reward is distributed; and
-
Not be an employee, contractor, or affiliate (or a member of their respective immediate families and/or a person with whom any of the foregoing are domiciled) of Uphold or any of its subsidiaries.
Program Period Reward Cap
The Program begins on April 16, 2026 at 12:00 PM ET and is valid until April 30, 2026 at 11:59 PM ET, or until the total reward budget of $50,000 USD in BTC value (the “Reward Cap”) is exhausted, whichever occurs first (the "Program Period").
Users who register through the campaign landing page during April 16, 2026 at 12:00 PM ET to April 30, 2026 at 11:59 PM ET will have 30 days total to complete a qualifying trade of $10 or more in a cryptocurrency or a metal asset. A user who registers on April 29th will have 30 days to complete the campaign action(s).
Uphold reserves the right to end the Program early if the Reward Cap is reached or close to completion. This means that no Rewards will be issued under the Program once the Reward Cap is reached, regardless of whether a person complies with all other Program Terms.
How to Participate
To qualify for the Reward, Eligible Participants must complete all of the following steps during the Program Period:

Register for a new Uphold account by using the specific campaign landing page.

Complete identity verification (KYC), including submission of valid government-issued identification, a valid and current W-9 TIN form and any other documentation required by Uphold's compliance procedures; and
-
Execute a Qualifying Trade no more than thirty (30) days after opening their new Uphold account. A ”Qualifying Trade” is any fiat-to-crypto purchase made on the Uphold platform of at least $10.00 or more USD minimum. Purchases of stablecoins (e.g., USDC, USDT) and crypto-to-crypto trades are not considered Qualifying Trades and are excluded from the Program Metal Assets qualify for the trade as long as it is $10 or more. For the avoidance of doubt, the Qualifying Trade must be executed within thirty (30) days of the date on which the Eligible Participant's Uphold account is opened, and in all cases no later than the end of the Campaign or the exhaustion of the budget.
All three (3) steps must be completed.
Disqualifying Events
You will be disqualified from the Program and any Reward otherwise withheld or forfeited if you:

Provide false, inaccurate, or misleading information during Platform registration or KYC;

Use automated means, bots, scripts, or other non-human methods to participate;
-
Create multiple accounts to circumvent the one-per-person limit;
-
Engage in wash trading, self-dealing, or any transaction designed solely to meet the qualifying trade threshold without legitimate investment intent;
-
Fail to complete a Qualifying Trade within 30 days of account opening; or
-
Violate any provision of these Program Terms or Uphold's User Agreement.
Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure, and fulfillment in respect to this Program.
Reward Description and Limitations

Eligible Participants who successfully make a Qualifying Trade during the Program Period will receive a one-time reward (the “Reward”) credited to their Uphold BTC wallet as $30.00 USD equivalent in Bitcoin (BTC), calculated at the market price of BTC at the time of credit issuance.

The Reward is usable as trading credit to make additional purchases of cryptoassets or stablecoins on the Platform.

Limit one (1) Reward per Eligible Participant, per household, per device, and per IP address.
-
The Reward has no cash equivalent and may not be transferred, sold, or exchanged outside of the Platform except in accordance with standard platform trading terms.

The Reward may not be combined with any other Program offer unless explicitly stated.

Eligible Participants who qualify for and receive the Reward under this Program are not eligible to participate in, and are hereby disqualified from, any other Uphold deposit-based campaigns or offers, whether currently active at the time of their participation or introduced during the Program Period. Receipt of the Reward constitutes the Eligible Participant's election of this Program over any other then available deposit-based incentive.

Uphold is not responsible for any fluctuation in BTC value following Reward delivery.

Uphold reserves the right to withhold, reverse, or reclaim a Reward where it reasonably suspects abuse, fraud, gaming or failure to comply with these Program Terms.
Reward Delivery

Eligible Participants who meet the Program requirements will automatically receive the Reward in their Uphold account within thirty (30) days following the Qualifying Trade, typically as part of Uphold’s weekly processing cycles.

Reward timing may vary depending on operational or financial processing constraints. Uphold is not responsible for delays outside its control. Rewards will be issued in the order in which eligible Qualifying Trades occur, until the Campaign ends or the Reward Cap is reached.

Each Eligible Participant receiving a Reward is responsible for any costs associated with claiming the Reward.
Tax Disclosure
The Reward may constitute taxable income under applicable federal, state, and local tax laws. You are solely responsible for determining and fulfilling any tax obligations arising from receipt of the Reward. Uphold recommends consulting a qualified tax professional.
Investment Risk Disclosure
Cryptocurrency investments, including Bitcoin (BTC), involve significant risk. The value of BTC may go up or down, and Eligible Participants may lose value on any holdings, including the Reward. Past performance of any cryptocurrency is not indicative of future results. This Program does not constitute financial, investment, or legal advice. You should consult a qualified financial advisor before making investment decisions.

General Acknowledgements.
By participating in the Program, you acknowledge that Uphold shall not be responsible for any risks, losses, or adverse outcomes resulting from the inherent volatility of cryptoassets or from your participation in this Program.
Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, and/or use of any Reward.
Uphold is not responsible for technical or computer errors, or for late, lost, misdirected, misidentified, or incomplete entries. Participation in the Program in any way tampered with, incomplete, illegible, or mechanically reproduced, or submitted by or through fraudulent means, may be disqualified, in the sole discretion of Uphold. This includes any entry that does not comply with these Program Terms in any respect.
By participating in the Program, Eligible Participants agree to abide by and be bound by these Program Terms, and understand that the decisions of Uphold are final in all respects. These Program Terms are in addition to, and do not supersede, Uphold's general Terms of Service and Privacy Policy.
Uphold's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Any personally identifiable information collected during an individual's participation in the Program, or by Uphold, will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Program as described in these Program Terms, for compliance with applicable laws, rules, and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy Policy.
This Program is a rebate-style incentive tied to a qualifying transaction and is not a sweepstakes, contest, or game of chance.
Limitation of Liability
To the fullest extent permitted by applicable law, Uphold shall not be liable for:

Any failure of the Program due to technical errors, system outages, or circumstances beyond Uphold's reasonable control;

Any taxes, fees, or charges incurred by participants in connection with the Reward;
-
Any losses arising from fluctuation in the value of BTC following Reward issuance;
-
Any indirect, incidental, or consequential damages arising from participation in this Program.
Modification and Termination
Uphold reserves the right, in its sole discretion, to modify, suspend, or terminate this Program at any time, with or without notice, including in response to regulatory requirements, fraud, or technical issues. In the event of early termination, Uphold will use reasonable efforts to honor Rewards already earned by Eligible Participants.
Governing Law and Dispute Resolution
Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Program Terms and the decisions of Uphold in connection with the Program shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable, or contrary to applicable law, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Program Terms shall be given effect as if it had not included the severed item.
Any and all disputes, claims, or causes of action arising out of or connected with the Program or any Rewards awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in Marin County, California. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in participation but in no event attorney’s fees.
Under no circumstances will you be entitled to obtain awards for, and you hereby waive all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased.
