Please read these Uphold XRP Vegas Giveaway Terms and Conditions (“Giveaway Terms”) carefully for important information about your rights and obligations in the Uphold XRP Vegas Giveaway Campaign (the “Giveaway”). The Giveaway is provided by Uphold as defined in your User Agreement that can be found here (“User Agreement”). The purpose of the Giveaway is to reward and engage the Uphold community by encouraging social sharing and participation during the XRP Vegas event. By participating in the Giveaway you acknowledge that you have read, understood, and agree to comply and adhere to the following Giveaway Terms.

Uphold.com is a Platform providing various products and services to global customers, which are subject to different laws and regulations in different jurisdictions. By making the Giveaway available on Uphold.com and/or any other Uphold websites and applications, including but not limited to mobile applications (collectively, the “Platform”), Uphold is not making, and shall not be regarded as having made or intended to make, an invitation or inducement to you to invest in any Uphold products or services.

  1. Promotion Period

    The Giveaway is open for entries from May 30, 2025 to May 31, 2025, during the XRP Vegas 2025 event (“Promotion Period”).

  2. Eligibility

    The Giveaway is open to natural persons who meet all of the following criteria (each an “Eligible Participant”):
    • a) reside in the United States, excluding residents of New York, Florida, the U.S. Virgin Islands and American Samoa;
    • (b) are at least eighteen (18) years of age;
    • (c) are registered users of the Uphold Platform who have successfully completed identity verification (“IDV”) and all applicable “know your customer” (KYC) procedures as required by Uphold;
    • (d) are Uphold customers in good standing and in compliance with the terms of the Uphold User Agreement;
    • (e) follow @UpholdInc on X (formerly Twitter);
    • (f) comply with all other participation requirements outlined below.

  3. How to Enter

    1. To enter the Giveaway, Eligible Participants must:
      • (a) Visit the Uphold booth at XRP Vegas and receive an official Uphold XRP Vegas hat.
      • (b) Take a photo wearing the hat.
      • (c) Post the photo publicly on X, tagging @UpholdInc.
      • (d) Follow @UpholdInc on X.

        Each valid post will count as 5 entries into the Giveaway draw.
    2. Bonus Entries:
      If your photo includes @SMcLoughlion00 (Simon McLoughlin), your entry count will be doubled to 10 entries.
    3. Only one photo per person will be counted. Multiple posts by the same person will not result in additional entries.

  4. Winner Selection and Prize

    1. (a) One (1) winner will be randomly selected from all eligible entries (the “Winner”).
    2. (b) The Winner will receive $50,000 USD worth of XRP, deposited into their verified Uphold Account (the “Prize”). The amount of XRP awarded will be calculated based on the exchange rate published by Uphold on the day the random draw takes place. The Prize is non-transferable and non-assignable. No substitutions of the Prize are permitted.
    3. (c) The random draw will take place on the 7th day after the end of the Promotion Period.
    4. (d) The winner will be notified via direct message on X and/or email associated with their Uphold Account.

  5. Taxes

    The Prize may be considered taxable income received by you in accordance with U.S. tax law. You are responsible for any tax liability related to participating in this Giveaway. Please consult your tax advisor if you have any questions about your personal tax situation.

  6. Privacy

    By participating in these Giveaway, the Winner consents to the use by Uphold of their first name, last name, hometown, posted image(s) and Winner’s X handle for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us at [email protected]. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The Winner agrees to abide by and be bound by these Giveaway Terms, and understands that the decisions of Uphold are final in all respects.

    Any personally identifiable information collected during an individual's participation in the Giveaway, or by Uphold will be collected and used by Uphold and their agents for the purposes of the proper administration and fulfillment of the Giveaway as described in these Giveaway Terms, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Uphold’s Privacy notice available at https://uphold.com/en-us/legal/privacy-policy.

  7. Disclaimers

    1. You acknowledge and agree that the Giveaway and any content, features, or services provided in connection with it, are made available on an “as is” and “as available” basis, without warranties of any kind.
    2. Nothing in this Giveaway is intended to, and shall not be construed as, providing any financial or investment advice. You further acknowledge that digital assets are highly volatile, and the act of predicting future prices involves inherent risk, which you voluntarily assume.
    3. To the maximum extent permitted under applicable law, Uphold expressly disclaims, and you agree to waive, any and all other warranties of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, or warranties arising from a course of performance, course of dealing, or usage in trade.
    4. You agree that Uphold shall not be liable for any losses or damages arising out of or relating to (a) any inaccuracy, defect, or omission of digital asset price data; (b) any error or delay in the transmission of such data; (c) interruption in any such data; (d) any maintenance or operational issues that cause suspension or interruption of the Giveaway; or (e) any acts by third parties beyond Uphold’s reasonable control, including illegal or unauthorized actions by others.
    5. Your participation in the Giveaway does not guarantee earnings or a specific reward amount. Prize is subject to change and may fluctuate based on market conditions beyond the Uphold’s control. In no event will Uphold be liable to you for any decrease in the value of the Prize or loss of earned Prize due to market volatility, technical issues, or other unforeseen factors.
    6. Decisions of Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Giveaway. Uphold reserves the right at any time to withdraw this Giveaway or to modify, amend, or supplement these Giveaway Terms, in its sole discretion.

  8. Risk Disclosure

    1. You understand that digital assets and participating in Giveaway involves significant risk, including the potential loss of the Prize. Digital asset values can fluctuate widely and unpredictably.
    2. By participating in the Giveaway, you acknowledge that Uphold shall not be responsible for any risks, losses, or adverse outcomes resulting from the inherent volatility of digital assets or from your participation in this Giveaway.

  9. General

    1. All matters arising out of or relating to these Giveaway Terms, including any dispute regarding their existence, validity, or termination, shall be governed by, and resolved in accordance with, the governing law, dispute resolution procedures, and venue provisions set forth in your User Agreement. By participating in the Giveaway, you agree to be bound by such provisions as if fully set forth herein.
    2. You expressly acknowledge that you are waiving the right to participate in any class action or collective proceeding and that any dispute relating to the Giveaway must be resolved on an individual basis, in accordance with the provisions set out in the User Agreement.
    3. This Giveaway is subject to all Federal, Provincial, State and local laws. Void where prohibited or restricted by law.
